A confirmation statement is a document filed at Companies House that confirms the information the register holds about your company is accurate and up to date as at the date of filing. It is not a set of accounts and it does not report income, expenses or tax. Its purpose is to keep the public record current so that Companies House, customers, banks and anyone else checking your company is looking at reliable information.

Most UK limited companies need to file one, and the same obligation generally applies to limited liability partnerships and other entities registered at Companies House. Dormant companies, companies that have never traded and companies that have paused trading are normally still required to file. If you are unsure whether your particular entity has a filing obligation, it is worth checking your position before the due date rather than assuming an exemption applies.

A company generally needs to file a confirmation statement at least once every 12 months, even if nothing at all has changed since the last one. That 12-month period runs from the date of your last confirmation statement (or from incorporation for the first one). You can file more than one confirmation statement within a review period if your details change and you want the register updated sooner — there is no rule that says you must only file once a year.

It asks you to confirm the details Companies House holds, which typically include the registered office address, the registered email address, directors and any company secretary, shareholders and share capital, People with Significant Control, and your SIC codes for business activity. If any of those details have changed, they usually need to be reported — and some changes must be notified separately rather than simply waiting for the next confirmation statement.

Generally, yes. Dormancy affects your tax position and the type of accounts you prepare, but it does not remove the confirmation statement requirement. A dormant company still exists on the register, so Companies House still expects to hear from it at least once every 12 months. Missing that filing can lead to further action being taken against the company.

They are two entirely different filings with different purposes. The confirmation statement confirms that the company's details at Companies House are correct. Annual accounts report the company's financial position and performance for an accounting period and are filed with a separate deadline. Filing one does not satisfy the other — you normally need to deal with both, and the deadlines are worked out independently.

No. A Corporation Tax Return (CT600) is filed with HMRC to report the company's taxable profits and calculate what tax is due. A confirmation statement is filed with Companies House and contains no tax figures at all. They go to different authorities, follow different deadlines and serve completely different purposes, so filing a confirmation statement does nothing to settle your Corporation Tax position.

If a confirmation statement is not filed, the company falls behind on its register obligations and Companies House can take further action — repeated failure can ultimately put the company at risk of being struck off the register. Rather than leaving it to escalate, it is usually quicker and less stressful to bring the filing up to date as soon as you notice it is overdue.
