A confirmation statement is a filing made to Companies House that confirms the information held about your company is accurate and up to date as at a specified date. It is often referred to as a CS01 filing. It is not a financial document — you are not reporting profit, turnover or tax — you are simply confirming that details such as your registered office, directors, shareholders and people with significant control are correct, and updating anything that has changed.
Most companies registered at Companies House need to file one, including limited companies in England, Wales, Scotland and Northern Ireland, and companies limited by guarantee. A company that is dormant, not trading or has had no activity during the period will usually still need to file. If you are unsure whether your particular entity type or circumstances create an obligation, it is worth checking with an accountant before assuming you are exempt.
UK companies generally need to file a confirmation statement at least once every 12 months, even if nothing has changed and even if the company is dormant or not trading. That 12-month period is your review period, and it is separate from your accounting period and your annual accounts deadline. If your company's information changes partway through a review period, you can file more than one confirmation statement during that period rather than waiting for the next one.
The statement confirms the position as at a specific date, so it is worth reviewing your registered office address, registered email address, directors and secretary, shareholders and share capital, people with significant control, and your SIC codes. Where something has changed, the confirmation statement itself may not be enough — certain changes, such as a new director, a change of registered office or a change in shareholding, often need to be reported separately to Companies House. In most cases, yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement, because the confirmation statement is about whether Companies House holds correct information about the company, not about whether the company has made money. A dormant company may still have directors, shareholders, a registered office and a PSC who all need to remain accurately recorded.
A confirmation statement confirms that your company information at Companies House is correct. Annual accounts are a set of financial statements showing the company's performance and position for an accounting period, prepared to a different deadline and under accounting rules. They are separate filings with separate purposes, and filing one does not satisfy the other. Your accounting reference date drives your accounts deadline, while your confirmation statement follows its own 12-month review period.
The confirmation statement goes to Companies House and deals with company information. A Corporation Tax Return, sometimes called a CT600, goes to HMRC and deals with your company's taxable profits and tax position. They are entirely separate submissions to separate bodies, and neither one replaces the other. The same applies to VAT Returns, which are another separate obligation where the company is VAT registered.
If a confirmation statement is not filed, the company's record at Companies House falls out of date, and Companies House may take action — repeated failure to file can ultimately lead to the company being struck off the register.
