Annual accounts are the statutory financial statements that a company prepares for a specific accounting period. They provide information about the company's financial position and performance and are prepared according to the accounting framework applicable to that company. Once finalised, the required version is submitted to Companies House as part of the company's Annual Accounts Filing obligations, where filing is required.
UK registered companies generally have annual accounts filing responsibilities, although the exact requirements depend on the company's circumstances and any applicable exemptions. Size, accounting period, dormant status and the accounting framework used can all affect what is prepared and filed. Directors remain responsible for making sure the accounts are properly prepared and filed on time, even when an accountant or filing service handles the preparation and submission.
The deadline depends on the company's own circumstances and accounting period. Private companies generally have a Companies House filing deadline based on their accounting reference period, and the time allowed can differ for a company's first set of accounts. Because the exact date varies from company to company, it should always be checked against that company's specific filing record with Companies House. This is separate from any HMRC Corporation Tax Return deadline.
Depending on the company's size and the reporting requirements that apply, annual accounts may include a balance sheet, a profit and loss account, notes to the accounts and other required statements or information. Smaller companies may file a reduced set of information, and micro-entities preparing under FRS 105 often file less detail than larger companies. Not every company files an identical set of accounts, and the information made publicly available can differ.
No. Annual accounts filed with Companies House are separate from a Company Tax Return (CT600) submitted to HMRC. Information from the accounts is often used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC. Corporation Tax, VAT, payroll and Self Assessment are separate obligations with their own deadlines.
Dormant companies may still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts, and the position can depend on the company's circumstances and the exemptions available to it. Where a company is genuinely dormant, the accounts filed may be simpler, but the filing obligation itself often remains.
Micro-entities may qualify for the micro-entities regime and may prepare accounts using FRS 105 where that regime is applicable and chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions to qualify: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10, subject to applicable rules and exclusions. Meeting those figures does not automatically confirm eligibility, so the rules should be checked for the individual company.
If accounts are filed with Companies House after the relevant deadline, Companies House can impose late filing penalties. These penalties relate to Companies House annual accounts filing and are distinct from HMRC penalties connected to Corporation Tax Returns, which follow a different process and deadline.
