Annual accounts set out a company's financial position and performance for a specific accounting period. They are prepared according to the accounting framework that applies to the company, and they are usually filed with Companies House where the company has a filing responsibility. The content can differ between companies depending on size and circumstances.

UK registered limited companies generally have annual accounts filing responsibilities with Companies House, subject to their circumstances and any applicable exemptions. This includes many micro-entities, dormant companies, one-director companies and other eligible small limited companies in Vale Of. The exact format and information filed are not identical for every company.

A Confirmation Statement confirms company details with Companies House, while a CT600 reports to HMRC. Each has its own deadline and purpose, and filing one does not replace another.

Many dormant companies still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts. The position depends on the company's circumstances, so it is worth confirming before assuming nothing needs to be submitted.

A company may qualify for the micro-entities regime and prepare accounts under FRS 105 where the regime is applicable and chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and no more than 10 employees on average, subject to applicable rules and exclusions. Meeting the figures alone does not automatically confirm eligibility.

If annual accounts are filed after the relevant Companies House deadline, Companies House can impose late filing penalties on the company. These penalties relate to the annual accounts filed at Companies House, not to HMRC Corporation Tax Returns. Directors remain responsible for ensuring accounts are properly prepared and filed on time, even when an accountant or filing service submits them.
