They provide information about the company's financial position and performance for that period and are prepared under the accounting framework that applies to the company. Once finalised, they are generally filed at Companies House, subject to the company's circumstances and any exemptions that apply. Annual accounts are not the same as a Corporation Tax Return, a confirmation statement or a VAT Return.
Annual Accounts Filing requirements generally apply to UK registered limited companies. This can include micro-entities, dormant companies, one-director companies and other eligible small limited companies, although the exact requirements depend on factors such as company size, accounting period, dormant status, the applicable accounting framework and available filing exemptions. Directors remain responsible for making sure the accounts are properly prepared and filed, even when an accountant or filing service handles the preparation and submission on their behalf.
The deadline depends on the company's circumstances and accounting period. Private companies usually have a Companies House filing deadline based on their accounting reference period, but first accounts and other situations can differ, so the exact date should be checked for the individual company. If accounts are filed after the relevant deadline, Companies House can impose late filing penalties. These penalties relate to the annual accounts filed at Companies House and are separate from HMRC Corporation Tax filing or payment deadlines.
The content of annual accounts varies by company. Depending on size, accounting framework and reporting requirements, they may include a balance sheet, a profit and loss account, notes to the accounts and other required statements or information. Smaller companies often file a reduced set of information, while larger companies file more. Because the requirements are not identical for every company, it is worth confirming which items your company needs before the accounts are finalised and submitted.
No. Annual accounts are filed with Companies House, whereas a CT600 is a Company Tax Return submitted to HMRC. These are separate filings with separate deadlines and separate purposes. Information from the annual accounts is often used when preparing the company's Corporation Tax computation and CT600, but filing annual accounts at Companies House does not itself constitute filing a Corporation Tax Return with HMRC.
No, they are different obligations. A confirmation statement confirms that information held by Companies House about the company, such as directors, registered office and share details, is up to date. Annual accounts report on the company's financial position and performance for the accounting period. A company can have both obligations running at the same time, and meeting one does not satisfy the other, so each needs its own attention.
Dormant companies can still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically mean the company is exempt from filing annual accounts, as the two processes are handled by different bodies and follow different rules. Dormant accounts are usually shorter and simpler, but they still need to be prepared and filed correctly, and directors remain responsible for ensuring this happens on time.
Many small companies may qualify for the micro-entities regime and, where the regime applies and is chosen, may prepare accounts using FRS 105. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three size conditions to qualify: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees, subject to applicable rules and exclusions. Meeting these figures does not automatically confirm eligibility, so the rules should be checked.
