Annual accounts are prepared separately from a Company Tax Return, although figures from them are often used when preparing the company's Corporation Tax computation.
UK limited companies generally have annual accounts filing responsibilities with Companies House, subject to the company's circumstances and any exemptions that apply to it. The type of accounts prepared and filed can vary depending on company size, the applicable accounting framework, the length and dates of the accounting period, and whether the company is dormant. Because requirements are not identical for every company, it is worth confirming what applies to your specific circumstances before the filing date.
The deadline for Annual Accounts Filing depends on the company's accounting reference period and its individual circumstances, so it is not the same date for every company. Private companies generally have a Companies House filing deadline calculated from their accounting reference date, and the exact date should always be checked for the company in question. Directors can confirm the due date shown on Companies House records and plan preparation well ahead of it.
Annual accounts for a UK limited company are generally filed with Companies House where a filing obligation applies. This is separate from anything submitted to HMRC. A CT600 is submitted to HMRC to report the company's Corporation Tax position, while a confirmation statement confirms specified company details and is filed with Companies House. Three distinct obligations can therefore exist for the same company, each with its own deadline and its own information requirements.
Dormant companies may still have annual accounts filing responsibilities with Companies House, and being dormant for Corporation Tax purposes does not automatically mean a company is exempt from filing annual accounts. Different rules and possible exemptions can apply depending on the company's situation, and the accounts filed for a dormant company are usually prepared on a different basis from those of a trading company. It is worth checking the position for your own company rather than assuming no filing is needed.
Micro-entities may qualify for the micro-entities regime and may prepare accounts using FRS 105 where that regime is applicable and chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three size conditions to qualify: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10, subject to applicable rules and exclusions. Meeting those figures does not automatically confirm eligibility, as other rules may affect the position.
