They are prepared according to the accounting framework that applies to your company and are usually filed with Companies House, subject to your company's circumstances and any available exemptions. They are a formal reporting document rather than a general management report.

Most UK registered limited companies have annual accounts filing responsibilities with Companies House, although the exact requirements depend on the company's own circumstances. Small companies, micro-entities, one-director companies and dormant companies may all have a filing obligation, even where the accounts themselves are limited in scope. Whether exemptions apply, and what must be filed, depends on factors such as company size, the accounting period and current Companies House requirements.

The deadline depends on your company's accounting reference period and individual circumstances, so there is no single date that fits every company. Private companies generally have a Companies House filing deadline linked to their accounting reference date, but the exact due date should always be checked for your company. If accounts are filed after the relevant deadline, Companies House can impose late filing penalties, which is why it helps to plan preparation and review well ahead of the date.

The content varies from company to company. Depending on size and the applicable reporting requirements, annual accounts may include a balance sheet, a profit and loss account, notes to the accounts and other required statements or information. Micro-entities that qualify for the micro-entities regime, and choose to use it, may prepare accounts under FRS 105 in a simpler format. Not every company files an identical set of accounts.

No. Annual accounts filed with Companies House are separate from a Company Tax Return (CT600) submitted to HMRC. Information from the accounts is often used when preparing the Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC. Companies House accounts filing deadlines and HMRC Corporation Tax filing and payment deadlines are separate.

No, they are two different filings with different purposes. A confirmation statement confirms and updates information held on the public register, such as directors, shareholders and registered office details, while annual accounts report the company's financial position and performance for the accounting period. A company may need to file both, and each has its own deadline.

Dormant companies may still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically exempt a company from filing annual accounts with Companies House, and dormant accounts may still need to be prepared and submitted. Directors should check what applies to their own company rather than assuming that no filing is required.

Companies that qualify as micro-entities may be able to prepare accounts using the micro-entities regime, often under FRS 105, where the regime applies and is chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees, subject to applicable rules and exclusions. Meeting these figures does not automatically confirm eligibility, so the relevant rules should be considered carefully.
