Annual accounts are a formal set of financial statements that show a company's financial position at the end of an accounting period and its performance during that period. They are prepared under the accounting framework applicable to the company and are generally filed with Companies House subject to the company's circumstances and any available exemptions. They are separate from a Confirmation Statement and from a Company Tax Return.
Most UK limited companies have an annual accounts filing responsibility with Companies House, although there are limited circumstances and exemptions where a company may not need to file in the usual way. The directors remain responsible for ensuring the accounts are properly prepared and filed on time, even when an accountant or filing service prepares and submits them on the company's behalf. The exact requirement depends on your company's size, accounting period, dormant status and applicable exemptions.
The deadline depends on your company's circumstances and accounting period, so there is no single date that applies to every company. Private companies generally have a Companies House filing deadline based on their accounting reference period, and first accounts can follow different rules from later periods. It is worth checking the exact filing date recorded for your individual company rather than relying on a general assumption.
Depending on the company's size, the applicable accounting framework and any exemptions, annual accounts may include items such as a balance sheet, a profit and loss account, notes to the accounts and other required statements or information. Smaller companies and micro-entities may be able to include less detail than larger companies. Not every company files an identical set of accounts, and the information filed publicly can vary as a result.
No. Annual accounts filed with Companies House are a separate obligation from a Company Tax Return (CT600) submitted to HMRC. Information from the accounts may be used when preparing a company's Corporation Tax computation and CT600, but filing annual accounts with Companies House does not itself constitute filing a Corporation Tax Return with HMRC. The two have different purposes, different filing routes and different deadlines.
A dormant company may still have annual accounts filing responsibilities with Companies House. Being dormant for Corporation Tax purposes does not automatically exempt a company from filing annual accounts with Companies House, and the position can depend on the company's specific circumstances and applicable exemptions. It is worth checking your company's status and filing history before assuming no accounts submission is needed.
A company may qualify for the micro-entities regime and be able to prepare accounts using FRS 105 where the regime is applicable and chosen. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least two of three conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average number of employees of no more than 10. Meeting those figures does not automatically mean a company qualifies, as the relevant rules and exclusions also need to be considered.
Companies House can impose late filing penalties when annual accounts are filed after the relevant deadline for that company. These penalties relate to the Companies House accounts filing and are distinct from HMRC Corporation Tax filing or payment deadlines. Directors are responsible for making sure the accounts are filed on time, so keeping track of the accounting reference date and preparing early helps avoid unnecessary pressure.
