Dormant Company Accounts Filing in Tunbridge Wells

If your company has stopped trading but is still registered at Companies House, professional Dormant Company Accounts Filing in Tunbridge Wells can take the guesswork out of your annual reporting. We help directors of dormant and non-trading limited companies understand what is required, prepare the appropriate annual accounts for the period, and submit them to Companies House where a filing obligation applies. Being dormant does not usually mean the company has nothing left to do. A company that is dormant for Companies House purposes will generally still need to file annual accounts and a confirmation statement each year unless it has been formally dissolved or a specific rule applies to its circumstances. Our role is to keep that process straightforward: we review your company’s position, confirm which filings are relevant, prepare the accounts in line with the applicable requirements, and help you keep your Companies House record up to date. We also take care to separate dormant accounts from other obligations that may apply, such as confirmation statements and any Corporation Tax requirements with HMRC, so nothing is overlooked simply because the company is not actively trading.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

When a Company May Be Able to File Dormant Accounts

Dormant company accounts are generally relevant where a company is dormant for Companies House purposes, which normally means it has had no significant accounting transactions during the financial period in question. Small administrative or statutory transactions can sometimes be ignored for this purpose, but the position depends on the applicable Companies House rules and on what has actually happened in the company’s bank account and records, so it is worth checking before assuming you qualify. A company cannot simply decide it is dormant because it has not traded; dormancy for Companies House purposes has its own meaning, and the accounts you prepare should reflect the company’s real circumstances. It is also important to recognise that dormancy for Companies House and dormancy for Corporation Tax with HMRC are separate concepts. A company may be dormant for one purpose but not automatically for the other, and filing dormant accounts with Companies House does not by itself tell HMRC that the company is dormant or settle any Corporation Tax position. Even where a company remains registered and dormant, annual filing responsibilities can continue, typically including dormant accounts and a confirmation statement. Because requirements vary from company to company, the correct form and filing route can differ, and not every dormant company can use the same approach — for example, a shortened filing route such as the AA02 form is not suitable for every dormant company. Establishing your company’s status and obligations early in the year is the simplest way to avoid an unnecessary scramble later.

A company may be able to file dormant accounts where it has had no significant accounting transactions during the relevant financial year, subject to the applicable Companies House rules.

It has been incorporated but has not started trading.

Trading has stopped and the company has no relevant ongoing activity.

Its only transactions are those that Companies House disregards when determining dormancy.

It is being retained for a future business purpose, subject to its actual activities and transactions.

Dormant company accounts are the annual accounts a limited company prepares when it has been dormant for Companies House purposes during the relevant financial period. They are not a statement that the company has ceased to exist; they simply reflect a period in which the company had no significant accounting transactions. The content of those accounts depends on the company's circumstances and the applicable Companies House rules, which is why dormant accounts for one company can look different from those of another. Preparing them is about reporting the company's actual position accurately rather than fitting every dormant company into a single template.

Broadly, a company is treated as dormant for Companies House purposes when it has had no significant accounting transactions during the period. Certain transactions are usually disregarded for this test, such as payments to the registrar, but the detail matters and depends on the applicable rules. The key point is that dormancy is judged on what actually happened in the company's records, not on the director's intention to trade again in future or on the fact that no invoices were raised. If money has moved through the company in a way that counts as a significant transaction, the company may not be dormant for that period and different accounts may be needed.

In most cases, yes. A company that is dormant for Companies House purposes generally still has annual filing obligations, and these normally include annual accounts together with a confirmation statement, unless the company has been formally dissolved or a specific rule applies to its situation. The confirmation statement is a separate filing from the accounts: it confirms that the information Companies House holds about the company — such as its registered office, directors, shareholders and share capital — is still correct. Keeping both up to date helps ensure the public register reflects the company's position accurately.

No. Dormancy for Companies House purposes and dormancy for Corporation Tax purposes are assessed separately, and a company can be dormant for one and not the other. Companies House looks at whether the company had significant accounting transactions; HMRC looks at its own criteria for Corporation Tax. Because of that, filing dormant accounts with Companies House does not automatically notify HMRC that your company is dormant, and it does not automatically change your Corporation Tax position. If you are unsure how your company stands with HMRC, it is worth reviewing that separately rather than assuming the two are linked.

A Corporation Tax Return (CT600) is a separate HMRC obligation from your Companies House accounts, and whether one is required depends on your company's circumstances and any correspondence from HMRC. Some dormant companies are not asked to file a return for a particular period, while others may still need to notify HMRC or submit a return. It is important not to treat a dormant Companies House filing as evidence that your Corporation Tax affairs are in order, and equally important not to assume a return is always required. Checking your company's position with HMRC directly, or asking us to help you review it, is the safest approach.

It can, and this is one of the most common reasons a company's dormant status needs a closer look. Some transactions, such as a registrar's fee, are typically disregarded, but others — bank charges, bank interest, or payments made for the company by a director — may not fit within the dormancy rules. The treatment depends on the applicable requirements and the nature of the transaction. If your company has had any movement through its bank account, it is worth telling us about it before the accounts are prepared so we can confirm whether dormant accounts remain the correct route.

Usually we need confirmation of the company's name, registered number and registered office, the accounting period being reported, details of the directors and shareholders, and confirmation of what activity — if any — took place during the period, including any bank transactions. It also helps to know whether the company's details at Companies House have changed, and whether a confirmation statement is due, so the filings can be handled together sensibly. If your company has already been filing dormant accounts, copies of the previous filings make the process quicker. If your circumstances are unusual, we will tell you what else is needed.

Possibly, but it depends on the stage the company has reached and on the applicable rules. If a company has been formally dissolved, it no longer has ongoing filing obligations. If dissolution is only being considered or an application is in progress, accounts and a confirmation statement may still be due for periods before the company is removed from the register. Filing dormant accounts in that situation does not prevent a strike-off and does not remove any existing obligations; it simply deals with the reporting that is due. Tell us where things stand and we will explain what appears to be required for your company's particular position.
