I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()

Dormant company accounts are a set of annual accounts prepared for a company that has been dormant for Companies House purposes during the accounting period in question. In practice, this usually means the company had no significant accounting transactions in that period beyond certain limited items. The accounts still need to be prepared in line with the applicable rules and filed at Companies House where the company is required to file, even though there is little or no trading activity to report. They form the annual accounts part of your filing obligations; they are not a substitute for every other requirement a company may have.
For Companies House purposes, a company is generally treated as dormant when it has had no significant accounting transactions during the period. A transaction is significant when it needs to be entered in the company's accounting records — for example sales, purchases, or paying wages. Some activity, such as certain bank charges or the payment for shares taken by the original subscribers, may not necessarily make a company active, but it depends on the facts of the case. Dormancy is judged against the accounting period and the applicable rules, not simply on how active the director feels the company has been.
Generally yes, unless the company has been formally dissolved or another specific rule applies to it. A company that is dormant for Companies House purposes will usually still need to file annual accounts covering the dormant period, and a confirmation statement each year as well. These are two separate filings: the confirmation statement confirms that the information Companies House holds about the company is correct, while the accounts deal with the financial period. Missing either one can leave the company's public record out of date, so it is worth diarising both.
Yes, they are prepared on a different basis. Dormant accounts reflect the fact that there has been no significant accounting activity, so there is far less to report than in a trading company's accounts — typically no profit and loss account detail and limited disclosures. A trading company's accounts include income, expenses, assets and liabilities, and may need to follow a particular accounting framework. The requirements for a dormant company can also vary depending on its circumstances, so the right form and filing route is not necessarily the same for every dormant company.
No. They are two separate concepts, dealt with by two separate bodies. Companies House dormancy is about whether the company had significant accounting transactions for accounts filing purposes. HMRC dormancy is about whether the company is within the Corporation Tax system and what tax obligations it has. A company can be dormant for one purpose and not the other. Filing dormant accounts at Companies House does not, by itself, tell HMRC that the company is dormant, and it does not remove any Corporation Tax obligations, so the HMRC position should always be considered separately.
It depends on the company's position with HMRC. A company that has been genuinely dormant for Corporation Tax purposes may not need to complete a return for a particular period, but HMRC can still issue a notice requiring one, and the company is expected to respond to that notice. Being dormant at Companies House does not automatically end Corporation Tax filing obligations, and the two positions are not interchangeable. If you are unsure whether a return is due, it is best to check with HMRC or a qualified adviser rather than assume no action is needed.
We normally need the company name and registration number, the accounting period dates, details of the company's officers and registered office, and confirmation of the company's dormant position for that period. It also helps to know about any transactions that did take place, such as bank charges, interest received, or expenses paid on the company's behalf, because those can affect whether the company still qualifies as dormant for Companies House purposes. If a confirmation statement is due as well, we may also ask you to confirm that the company's details held at Companies House are accurate and up to date.
Often yes. A company can still need accounts filed while it is in the process of being closed, because the filing obligation generally continues until the company is formally dissolved or another specific rule applies. Starting a closure or strike-off process does not automatically switch off the requirement to file outstanding accounts and confirmation statements. It is worth checking which filings are still due and dealing with them, since the closure process and the annual filing cycle can run alongside each other.
