I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()

Dormant company accounts are the annual accounts prepared for a company that is dormant for Companies House purposes and has had no significant accounting transactions during the relevant accounting period. They are a simplified set of accounts, but they are still statutory accounts filed at Companies House under the company's normal filing obligation. Importantly, they are not the same thing as a Confirmation Statement, a Corporation Tax Return, a VAT Return or a payroll submission. Each of those covers a different obligation, and filing dormant accounts does not satisfy any of the others. The exact content and format that applies depends on the company's circumstances and the Companies House rules in force for that period.
Broadly, a company is treated as dormant for Companies House purposes where it has no significant accounting transactions during the accounting period. A significant accounting transaction is generally a transaction that must be entered into the company's accounting records, so the test is about what actually happened in the books rather than whether the company has stopped actively trading in a commercial sense. Some transactions are commonly disregarded for this purpose under the relevant rules, but the detail matters, and the position can differ from company to company. Because the definition is specific, it is worth reviewing your bank activity and records for the period before deciding that the company qualifies as dormant for Companies House.
Yes, in most cases. A company that is dormant for Companies House purposes will generally still need to file annual accounts for each accounting period, along with a confirmation statement, unless the company has been formally dissolved or a specific rule applies to its situation. Being dormant does not remove the annual accounts requirement. What changes is the type of accounts that may be appropriate, not whether anything needs filing. The filing route and the accounts themselves depend on the company's circumstances and the Companies House rules in force, and it is not safe to assume that every dormant company uses the same form or the same approach. AA02, for example, is associated with certain dormant filing scenarios but is not a universal dormant accounts form for every dormant company.
A confirmation statement is a separate Companies House filing from dormant company accounts, and a dormant company will generally still need to file one each year. The confirmation statement confirms that the information Companies House holds about the company, such as its registered office, directors, shareholders and share capital, remains correct. It is not a set of accounts and it does not report profit or loss, so filing dormant accounts does not cover the confirmation statement obligation and vice versa. Both need to be dealt with separately, and both form part of the annual routine for a company that is still registered, even if it is not trading.
No. Dormancy for Companies House and dormancy for Corporation Tax are two distinct concepts with different definitions and different consequences. A company may be dormant for one purpose but not automatically for the other, so you cannot assume that your Companies House position settles your HMRC position. Filing dormant accounts with Companies House does not automatically notify HMRC that the company is dormant, and it does not automatically bring any Corporation Tax obligations to an end. If you want to establish or confirm dormancy with HMRC, that is a separate process. It is worth keeping both positions under review, particularly if the company has ever traded or had any activity that HMRC would consider relevant.
It depends on the company's position with HMRC, which is separate from its position with Companies House. A company that is dormant for Corporation Tax purposes may not need to file a Corporation Tax Return, but that depends on whether HMRC has been notified of dormancy and whether HMRC has issued a notice requiring a return. If HMRC has asked for a return, that request generally needs to be dealt with on its own terms, even where the company considers itself dormant. Because the two regimes operate independently, it is important not to assume that dormant accounts filed at Companies House, or a dormant status for Companies House, automatically resolves your Corporation Tax filing position. When in doubt, check the company's HMRC correspondence and records directly.
Typically we would need the company's registered details, the accounting period being reported on, the previous year's accounts or filing history where available, and a clear picture of any activity in the company's records during the period, including bank statements and any transactions that may need to be considered. We also need to know whether the company has been formally dissolved, whether a confirmation statement is due, and whether anything has changed at Companies House, such as directors, registered office or share details. The more complete the information, the easier it is to confirm whether the company qualifies as dormant for Companies House and which accounts and filing route are appropriate. Where something in the records suggests the company is not dormant for the period, we will flag it so you can decide how to proceed.
It can, and that is precisely why the definition needs checking rather than assuming. Some transactions are commonly disregarded when assessing dormancy for Companies House, while others are significant enough to mean the company is not dormant for that period and should prepare accounts on a different basis. Bank charges, interest, and certain payments and receipts can all affect the position, and the outcome depends on the nature of the transaction and the rules that apply. If the company has had activity of this kind, it is worth reviewing the records before filing anything, because filing dormant accounts when the company does not qualify could create problems further down the line. A short review of the bank statements and ledgers for the period is usually enough to establish where the company stands.
