I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()

Dormant company accounts are the annual accounts filed with Companies House by a company that has been dormant for Companies House purposes during the relevant accounting period — broadly, a period in which it had no significant accounting transactions. They are a simplified set of accounts compared with those of a trading company, but they are still formal statutory accounts and still have to be prepared and filed in line with the applicable Companies House rules. They are not the same thing as a confirmation statement, a Corporation Tax Return, a VAT Return or a payroll filing, each of which is a separate obligation with its own rules.
For Companies House purposes, a company is generally treated as dormant when it has had no significant accounting transactions during the accounting period. Significant accounting transactions usually exclude things such as taking shares in the company, paying Companies House or HMRC filing fees, and a few other specified items — but ordinary trading activity, sales, purchases and income would normally take a company outside dormancy. Because the detail matters, it is worth checking your company's actual activity for the period rather than relying on the general impression that 'nothing much happened'. If the company had any transactions that count, standard accounts may be required instead of dormant accounts.
In most cases, yes. A company that is dormant for Companies House purposes generally still has to file annual accounts for each accounting period, unless it has been formally dissolved or another specific rule applies. Dormant status changes the type of accounts a company files, not whether it has to file at all. This is one of the most common misunderstandings we see from directors in Gravesend — assuming that because nothing happened in the business, there is nothing to send to Companies House. Keeping up with the annual accounts is part of keeping the company in good standing on the register.
Yes — a confirmation statement is a separate Companies House filing from dormant company accounts, and a dormant company will usually still need to file one each year. The confirmation statement confirms that the information Companies House holds about the company (such as directors, shareholders, registered office and share capital) is correct as at the confirmation date, and it has to be filed even if the company has not traded. It is not an accounts filing and it does not replace dormant accounts; the two run alongside each other as separate annual obligations. If anything about the company's details has changed, the confirmation statement process is also where those changes are typically updated.
No, and this distinction catches a lot of directors out. Companies House dormancy and HMRC Corporation Tax dormancy are separate concepts, assessed against different tests by different bodies. A company can be dormant for Companies House purposes but not for Corporation Tax, or the other way around. Filing dormant accounts with Companies House does not automatically notify HMRC that the company is dormant, and it does not automatically remove or resolve any Corporation Tax obligations. If you want to change how the company is treated for Corporation Tax, that is a separate conversation with HMRC and may require its own notification or return.
That depends on the company's position with HMRC rather than on its Companies House status. Corporation Tax Returns are an HMRC obligation, entirely separate from dormant company accounts filing at Companies House. Some companies that HMRC regards as dormant do not need to file a return for a particular period, while others will still be asked to file one or will have other Corporation Tax responsibilities to deal with. Because the two regimes are independent, you should not assume that filing dormant accounts with Companies House settles anything on the Corporation Tax side. If you are unsure where your company stands with HMRC, it is worth checking directly.
It can, but the effect depends on what the transactions are and how Companies House treats them. Certain specified items — such as fees paid to Companies House, and a limited number of other transactions of that nature — do not normally stop a company being treated as dormant. Ordinary bank charges, subscription payments, or any real income or expenditure usually go beyond that, and can mean the company is no longer dormant for the period, in which case standard accounts would generally be needed rather than dormant accounts. The safest approach is to look at the actual transactions in the period and take advice on how they are classified, rather than assuming small amounts can be ignored.
Filing after the deadline can lead to penalties and can leave the company's record at Companies House showing as overdue, which is why directors usually want the annual filings dealt with promptly. The exact consequences depend on the company's circumstances, the filing history and the rules in force at the time, so we would not reduce this to a single rule of thumb. The practical point is that late dormant accounts create avoidable admin and correspondence, and often lead to a scramble to get several years' worth of filings back in order. Getting into a routine of preparing and filing on time is much less stressful than reacting to reminders.
