I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.Posted on Google![]()

Dormant company accounts are the annual accounts a company prepares for Companies House when it has been dormant for Companies House purposes during the accounting period. They are usually a much shorter, simpler set of accounts than those filed by a company that has been trading, reflecting the fact that there was no significant financial activity to report. They are still statutory accounts, however, and they still have to be prepared and filed in the right way for the company's circumstances. The exact content and the route used depend on the company's position and the applicable Companies House rules, so it is worth confirming the details for your accounting period rather than assuming a particular form applies to every dormant company.
Broadly, a company is dormant for Companies House purposes where it has had no significant accounting transactions during the accounting period. Trading, receiving income from its usual activities, or entering into transactions that count as significant for this purpose will generally mean the company is not dormant for Companies House. A limited number of items are normally disregarded when assessing this, such as certain fees paid to the registrar and certain transactions connected with the taking of shares on formation. Because the test is applied to the specific accounting period, a company can be dormant in one year and not in the next, so each period should be considered on its own facts.
In most cases, yes. Being dormant for Companies House purposes does not normally remove the requirement to file annual accounts, and it also does not remove the requirement to file a confirmation statement. A dormant company that remains registered generally continues to have annual filing obligations unless it has been formally dissolved or another specific rule or exemption applies to its circumstances. This is why dormant company filing is best treated as an ongoing routine rather than something that can be set aside simply because there was no trading activity during the year.
No, they are two separate filings with different purposes. Dormant company accounts deal with the company's financial position for the accounting period, while a confirmation statement confirms that the information Companies House holds about the company, such as its directors, registered office and share capital, is up to date. A dormant company can be required to file both, and filing one does not satisfy the other. It is common for directors to submit a confirmation statement and assume the accounts side is also covered, which is why we handle them as distinct tasks and flag what is due for each.
No, they are separate concepts with separate rules and separate bodies. Companies House dormancy is about whether the company had significant accounting transactions in the period for accounts purposes, while Corporation Tax dormancy with HMRC is about the company's tax position and activity for tax purposes. A company can be dormant for one and not the other, and filing dormant accounts with Companies House does not automatically notify HMRC that the company is dormant for tax. If you want to change how HMRC treats the company, that generally needs to be dealt with separately and directly with HMRC.
It depends on the company's circumstances and on HMRC's view of its position. Where HMRC has accepted that a company is dormant for Corporation Tax purposes and has not issued a notice to deliver a return, there may be nothing to file for that period. If HMRC does issue a notice to file, a Corporation Tax Return is generally required even if the company has not traded, so the notice itself is the key point to watch. This is an HMRC obligation and is entirely separate from Dormant Company Accounts Filing at Companies House. Knowing which of the two you are dealing with is important, because they are not interchangeable and one does not discharge the other.
Typically we need the company name and registered number, the accounting period dates, details of the company's position during that period, and confirmation of whether there were any transactions at all, including items such as bank interest or bank charges that may need to be considered. It also helps to have the previous year's accounts to hand, along with confirmation of the registered office, directors and accounting reference date. If anything unusual happened during the period, such as changes to share capital, that should be mentioned too. Providing this information up front means the accounts can be prepared accurately and without unnecessary back-and-forth.
Yes. Many directors of inactive companies ask an accountant to prepare and file dormant company accounts on their behalf, along with the associated Companies House filing, because it removes the guesswork about what is required for the period. At Micro Entity Accounts, we work with companies across Gateshead and beyond, reviewing the position for the period, preparing the accounts in line with the applicable requirements, and making sure the submission side is taken care of properly. We can also support you with your confirmation statement so the two separate filings are not confused with one another.
