A confirmation statement is a filing made to Companies House that confirms the information already held about your company is correct and up to date. It is a check-and-confirm exercise rather than a financial document, and it is completely separate from annual accounts, a Corporation Tax Return (CT600) and VAT Returns. It is your opportunity to check registered office details, directors, shareholders, people with significant control and other company information, and to confirm that everything is correct or has been updated. A confirmation statement is a separate filing from annual accounts and a separate filing from a Corporation Tax Return.
Most UK limited companies need to file a confirmation statement, including companies that are dormant or not currently trading. Companies limited by guarantee and limited liability partnerships are also generally within scope. The requirement is based on being registered at Companies House rather than on how active the business is, so a quiet year does not normally remove the obligation. If you are unsure how the rules apply to your particular company, it is worth checking your position rather than assuming you are exempt.
A UK company must normally file a confirmation statement at least once every 12 months, counted from the date of the previous statement. In practice, many dormant companies file a short confirmation statement each year confirming that nothing on the register has changed.
