Confirmation Statement Filing is the process of submitting a confirmation statement (form CS01) to Companies House. The statement confirms that the information Companies House already holds about your company — such as your registered office address, directors, shareholders, share capital and people with significant control — is accurate and up to date. It is a check of the public record rather than a financial document, so it does not include turnover, profit or tax figures.

UK companies generally need to file a confirmation statement at least once every 12 months, even if the company is dormant or not trading. Companies House works to a review period, and a statement is due for each review period. You can also file more than one confirmation statement within the same review period if something changes and you want the record brought up to date sooner rather than later.

In most cases, yes. Dormancy affects your tax position and the type of accounts you file; it does not normally remove the requirement to file a confirmation statement. A dormant company still exists on the register, and Companies House still expects the information it holds to be confirmed. If you are unsure whether your particular circumstances affect the requirement, it is worth checking your position rather than assuming you are exempt.

They are two completely separate filings. A confirmation statement confirms that your company information at Companies House is correct, while annual accounts report your company's financial position and performance for an accounting period. Filing one does not satisfy the other. A confirmation statement is also unrelated to your accounting period or your accounts deadline, so do not treat the two as interchangeable.

A confirmation statement goes to Companies House and deals with company information only. A Corporation Tax Return (CT600) goes to HMRC and deals with the company's taxable profits and tax position. They are filed with different authorities, serve different purposes, and have their own deadlines. Some companies also have VAT Returns and other obligations, which are separate again from Confirmation Statement Filing.

The confirmation statement is primarily a confirmation rather than a change-reporting form. Certain changes, such as a new director, a change of registered office or an allotment of shares, usually need to be reported to Companies House separately, often on their own form and usually fairly promptly. Getting this wrong can leave the public record inconsistent, so it is worth having someone check what has changed and what needs to be filed where.
