A confirmation statement is a document filed at Companies House that confirms the information they hold about your company is correct and current. It can also be used to notify certain updates, such as changes to shareholders, share capital, or SIC codes, although some changes have to be reported separately. It is a company record filing rather than a financial one — it does not report profit, losses, or tax, and it is not the same thing as your annual accounts.
Any company registered at Companies House, including companies based in Wakefield, will normally need to file a confirmation statement. Dormant and non-trading companies generally still have to file a confirmation statement at least once every 12 months, because the filing confirms the company's details rather than its trading activity. Dormancy affects what you report elsewhere — for example in your accounts or tax filings — but it does not normally remove the confirmation statement requirement. If you are unsure about your own circumstances, it is worth checking rather than assuming.
These are three separate filings. The confirmation statement confirms that the information Companies House holds about your company is accurate and up to date, and it is filed with Companies House. Annual (statutory) accounts are the company's financial statements. A Corporation Tax Return (CT600) is filed with HMRC to report the company's taxable profit. Filing a confirmation statement does not satisfy your accounts or tax obligations, and filing accounts does not satisfy your confirmation statement obligation.
If a confirmation statement is not filed, Companies House will not have a current confirmation that your company's details are correct, and the company can be treated as being in default. Continued non-filing is one of the factors that can ultimately lead to a company being struck off the register. Rather than leave it to chance, it is far better to file promptly — or ask someone to handle the filing and keep an eye on the dates for you.
