A confirmation statement is a statutory filing made to Companies House that confirms the information held about your company is accurate and up to date. It is not a financial document and does not report profit, turnover or tax — those belong to your annual accounts and Corporation Tax Return. It simply confirms your company record, such as your registered office, directors, shareholders and people with significant control, along with your SIC codes.
If your company is registered at Companies House, it will generally need to file a confirmation statement at least once every 12 months, regardless of where in the UK it is based — including companies in Thetford and the wider Norfolk area. Yes — being dormant does not normally remove the requirement to file a confirmation statement. Dormancy generally affects your accounts and tax position rather than your obligation to confirm the company record. A dormant company still exists at Companies House, and the details held about it still need to be confirmed periodically. If you are unsure whether your company meets the dormancy criteria, we can point you in the right direction.
A confirmation statement and annual accounts are two completely separate filings. The confirmation statement confirms the non-financial information Companies House holds about your company, such as directors, shareholders and registered office details. Annual statutory accounts are the financial statements covering your accounting period, prepared to the applicable reporting framework and filed under a different requirement. Filing one does not satisfy the other, and the deadlines are based on different dates.
A confirmation statement goes to Companies House and confirms your company record. A Corporation Tax Return (often referred to as a CT600) goes to HMRC and reports your company's taxable profits and the Corporation Tax due. They are filed with different bodies, serve different purposes and have their own deadlines. Completing a confirmation statement does not fulfil your Corporation Tax Return obligations, and submitting a CT600 does not replace your confirmation statement.
