Generally, any company that appears on the Companies House register needs to file a confirmation statement at least once every 12 months, and limited liability partnerships have similar obligations. This includes actively trading companies, dormant companies and companies that are not currently trading. Whether you run a small family company, a single-director company or a larger limited company, the obligation is triggered by being on the register rather than by how much business you are doing. Sole traders who are not registered at Companies House do not file a confirmation statement.
A UK company generally needs to file a confirmation statement at least once every 12 months, even if nothing has changed during that time. This 12-month cycle is known as a review period, and Companies House sets a filing deadline based on when that period ends — it is worth checking your own confirmation date rather than assuming it lines up with your accounting period or accounts deadline. A company can also file more than one confirmation statement within a review period when information changes and you want the public record updated sooner.
Before filing, it is sensible to review the registered office address, director and secretary details, shareholder and share capital information, people with significant control (PSC) information and the SIC codes describing the company's activities. Some changes cannot simply be confirmed on the confirmation statement — for example, an appointment or resignation of a director, a change of registered office or an allotment of shares usually needs to be reported to Companies House separately using the relevant form. A confirmation statement can then be filed to bring the record up to date.
In most cases, yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement, because the filing exists to confirm the accuracy of your company information rather than to report trading activity. A dormant company may still have a registered office, directors and shareholders whose details need to be correct. Dormant companies can also have other filing obligations depending on their circumstances, so it is worth checking exactly what applies to your company.

Annual accounts are the company's statutory financial statements, prepared for the relevant period and filed at Companies House.
