It is not a financial report, so it does not set out your turnover, profit or tax position — that is what annual accounts and a Corporation Tax Return are for.
Most incorporated companies need to file a confirmation statement, including companies that trade actively and companies that are dormant or not trading. It is a Companies House requirement rather than a tax one, so it applies independently of your accounts and your Corporation Tax Return. Some incorporated entities such as limited liability partnerships also have confirmation statement obligations. If you are unsure whether your company needs to file, the safest approach is to check your company's status and filing history at Companies House — or ask a professional service to review it for you.
UK companies generally need to file a confirmation statement at least once every 12 months, even where the company is dormant or not trading. This is based on the confirmation statement review period, which is separate from your company's accounting period and from your annual accounts deadline. In most cases, yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement, because the obligation comes from company law rather than from whether the business has been active. A dormant company still has a registered office, directors and shareholders whose details need to be confirmed at Companies House. The confirmation statement does not report trading activity or profit, so a dormant company's filing is usually quick to prepare — but it still needs to be made when it is due.
They are three separate filings with different purposes. A confirmation statement confirms that the company information Companies House holds is accurate and up to date. Annual accounts report the company's financial position and performance for an accounting period and are also filed at Companies House. A Corporation Tax Return (CT600) is submitted to HMRC to report the company's taxable profit and work out the Corporation Tax due. Filing a confirmation statement does not satisfy your accounts or tax obligations, and filing accounts or a CT600 does not replace the confirmation statement — each one has its own purpose and its own timing.
If a confirmation statement is not filed when it is due, the company's record at Companies House becomes out of date, and the company and its officers can face enforcement action because failing to file on time is an offence. An out-of-date register can also cause practical problems, such as delays when opening a bank account, applying for finance or completing due diligence with customers and suppliers. If you realise a statement has been missed, it is best to put it right as soon as possible rather than waiting for the next review period.
