It is also a separate requirement from your annual accounts and your Corporation Tax Return.

Any company registered at Companies House will generally need to file a confirmation statement, whether it is based in Poole or elsewhere in the UK. That includes actively trading companies, dormant companies and companies that are not currently trading. Being dormant or inactive does not normally remove the requirement. The confirmation statement requirement relates to the company's registration at Companies House rather than to its trading activity or its tax position, so a dormant or non-trading company will usually still need to file one at least once every 12 months. If a confirmation statement is not filed, the company falls into default on its Companies House record. Companies House can take action in response, and in the most serious cases this can extend to steps to remove the company from the register. An outstanding filing also creates a poor impression with banks, lenders and anyone else who checks your record. The exact consequences depend on the circumstances, so an overdue confirmation statement is best dealt with promptly rather than left to sit.
