A confirmation statement — known by its form name, CS01 — is a filing made to Companies House that confirms the information held on the public register about your company is accurate and up to date. It is a check-in point rather than a financial document: you review the register details, such as your registered office address, directors, shareholders, share capital, people with significant control and SIC codes, and either confirm nothing has changed or make the necessary updates. Where a change has to be reported on a separate form, that is usually done outside the confirmation statement itself.
Most entities registered in the UK — including private limited companies, companies limited by guarantee, public limited companies and limited liability partnerships — are required to file a confirmation statement at least once every 12 months. Whether the requirement applies to your particular entity depends on its circumstances and structure, but the obligation does not disappear simply because the company has stopped trading or has little activity. If you are unsure of your position, we can check it and explain what is needed.
Generally at least once every 12 months, worked out from the company's own confirmation statement review period. This is not the same as your accounting period or your annual accounts deadline — each runs on its own timetable, which is a common source of confusion. A company can also file more than one confirmation statement within a single review period if its information changes and it wants the register updated sooner. Some changes, such as a change of directors or registered office, should be reported separately as soon as they happen rather than waiting for the next confirmation statement.
You should look at everything Companies House currently holds about the company: the registered office address, director and secretary details, shareholders and share capital, the details recorded for people with significant control, and the SIC codes describing the company's activities. The statement of lawful purpose is also confirmed at the same time. If anything has changed, the key question is whether that change has already been reported — if it has not, it usually needs updating or reporting on the appropriate form. Checking this before filing avoids your confirmation statement confirming information that is no longer correct.
In most cases, yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement. A dormant company still exists on the register, and Companies House still needs confirmation that the recorded details remain accurate. Dormant companies may have different obligations in other areas, such as their accounts, but the confirmation statement requirement generally still applies. We handle confirmation statements for dormant and non-trading companies as a matter of routine.
No — these are three separate requirements. Statutory annual accounts report your company's financial position and performance to Companies House. A Corporation Tax Return, or CT600, is submitted to HMRC to report the company's corporation tax position. A confirmation statement is a Companies House filing that confirms the company's register information is correct. Completing one does not satisfy the others, and filing a confirmation statement does not mean your company is up to date with every Companies House or tax obligation.
If a confirmation statement is not filed when it is due, Companies House will treat the company as being in default. Continued failure can lead to further action, which may include financial penalties and, in serious or repeated cases, steps towards striking the company off the register. Directors also have responsibilities in relation to filing obligations. The practical answer is to file on time where possible, and to put things right promptly if a deadline has already been missed.
