A confirmation statement is a filing made to Companies House that confirms the information held about your company on the register is correct as at a given date. It is often referred to as a CS01, which is the form used for the submission. It is not a financial filing — it does not include turnover, profit or tax figures — and it does not replace your annual accounts.
Most UK limited companies, limited liability partnerships and similar registrable entities need to file a confirmation statement, regardless of whether they trade, how much they earn or where in the UK they are based. If Companies House holds a record for your company, you should assume the requirement applies unless your specific circumstances say otherwise. It is also worth remembering that a company can file more than one confirmation statement within a review period when its information changes.
In general terms, a company needs to file a confirmation statement at least once every 12 months, counted from the end of its previous review period. That 12-month cycle is separate from your company's accounting period and separate from your annual accounts deadline, so the dates will not necessarily line up. You can also choose to file additional confirmation statements during a review period if details change and you want the register corrected sooner.
Yes, in most cases. Being dormant or simply not trading does not normally remove the obligation to confirm that the information Companies House holds is correct. A dormant company still has a registered office, directors and usually shareholders, and those details still need confirming. The confirmation statement also records a statement about whether the company is trading or dormant.
The confirmation statement confirms the details Companies House already holds, including the registered office address, directors and their service addresses, the company secretary where appointed, shareholders and share capital, People with Significant Control, and the SIC codes describing the company's activities. If something has changed, the confirmation statement itself may not be the right place to report it — certain changes, such as a new director or a change of registered office, must be notified to Companies House separately, often at the time of the change rather than waiting for the next confirmation statement.
These are three distinct filings with different purposes. The confirmation statement confirms that your company information at Companies House is accurate. Annual (statutory) accounts report your company's financial position and performance for an accounting period and are filed at Companies House, with a copy also going to HMRC alongside your Corporation Tax Return. The Corporation Tax Return, often called a CT600, deals with tax — how much the company owes and how that figure is calculated. Filing one does not satisfy the others.
If a confirmation statement is not filed, the company's record at Companies House becomes overdue and the company is shown as not having confirmed its information. Companies House can take action against companies that persistently fail to file, which in serious cases can include steps to strike the company off the register. Because Companies House does not approve or endorse confirmation statements and does not check them in detail, filing on time is ultimately the company's own responsibility — which is why many directors use a professional service to keep track.
