Confirmation Statement Filing generally applies to UK limited companies and limited liability partnerships. The requirement is not removed by the company being dormant, non-trading or quiet during the period. If Companies House holds a record for your company, you will normally need to file a confirmation statement at least once every 12 months, regardless of whether any money has moved through the business.
Most UK companies need to file a confirmation statement at least once every 12 months, measured by a review period that normally runs from the date of incorporation or the date of the last statement. Companies House expects the statement to be delivered within a short window after the review period ends. Where information changes during that period, a company can choose to file more than one confirmation statement, and it can also bring its review date forward if it wants to.
Before filing, it is worth checking the registered office address, the details of every director, the company secretary if one is appointed, the shareholders and the statement of capital, the people with significant control and their registered particulars, and the SIC codes that describe the company's activities. You will also confirm the statement of lawful purpose. If any of these have changed, the register may need updating as well as the confirmation statement being filed.
Yes, in most cases. A dormant company that has no significant accounting transactions still has a record at Companies House, and that record still needs to be confirmed. Being dormant or not trading does not normally remove the confirmation statement requirement, although it can affect other obligations such as whether statutory accounts or a Corporation Tax Return are needed. Those are separate questions from confirmation statement filing.
A confirmation statement confirms that the information Companies House holds about your company is correct. Annual accounts are a financial document showing the company's position and performance for an accounting period. They are separate filings with separate deadlines, they serve different purposes, and meeting one does not satisfy the other. A company can be up to date with its confirmation statement and still have accounts outstanding, and vice versa.
A Corporation Tax Return, often referred to as a CT600, is submitted to HMRC and deals with the company's taxable profits and any corporation tax due. A confirmation statement goes to Companies House and deals with company information on the public register. They are filed with different bodies, for different reasons, and neither replaces the other. Keeping your confirmation statement up to date does not mean your tax obligations have been dealt with.
If a confirmation statement is not filed, Companies House can take action against the company, which may ultimately include steps to strike the company off the register. Leaving it unfiled can also cause problems further down the line, such as difficulties when opening bank accounts, applying for finance or completing other filings. Acting promptly once you realise a statement is overdue is usually the most straightforward approach.
Some changes need to be reported to Companies House separately rather than simply being reflected in the next confirmation statement. For example, a change of registered office, the appointment or resignation of a director, or an allotment of shares usually has its own notification requirement with its own timeframe. Where you have several changes across the year, filing an additional confirmation statement can be a useful way of bringing the record up to date at a chosen point.
