If something has changed, you either confirm it through the confirmation statement or report the change to Companies House using the relevant separate form, depending on what has changed.

Most UK limited companies, and certain other entities registered at Companies House, are required to file a confirmation statement. That includes companies that are actively trading, companies that are dormant, and companies that are not currently trading but have not been dissolved. Being dormant or having no activity during the year does not normally remove the requirement. If your company is a different type of entity, or you are unsure how the rules apply to your circumstances, it is worth checking the position for your specific company before assuming a filing is not needed.

UK companies generally need to file a confirmation statement at least once every 12 months, even if nothing at all has changed. That 12-month window is known as your review period, which normally runs from the date of incorporation or from the date of your last confirmation statement. The standard filing deadline falls 14 days after the end of the review period. You can also file more than once within a review period if your information changes, although filing early can affect when your next review period begins. The review period is entirely separate from your accounting period and your annual accounts deadline, so it helps to track the two separately.

Yes, in most cases it does. Dormancy affects your accounting and tax position, but it does not normally remove the obligation to keep your Companies House information up to date. If your company is dormant or has not traded during the period, you still generally need to confirm that the registered details held about it are correct at least once every 12 months. Dormant companies often have the simplest confirmation statements to file, but the filing itself still has to be made.

The confirmation statement covers a defined set of company information: the registered office address, the company's registered name and number, details of directors and any company secretary, shareholder information and the statement of capital, your SIC codes for the company's principal business activities, and confirmation that your register of people with significant control is up to date. Some changes cannot be made through the confirmation statement itself and must be reported to Companies House separately — for example, certain changes to the registered office, directors, or share capital are notified on their own forms, and the confirmation statement then confirms the updated position.

A Corporation Tax Return (CT600) is submitted to HMRC to report profit and work out corporation tax, and a VAT Return is a separate HMRC filing based on your VAT accounting period. Filing any one of these does not satisfy the others, so it is worth planning them separately in your company's calendar.

Filing a confirmation statement is a legal requirement, so leaving it undone is not a neutral position. Companies House can take action where a required filing is not delivered — including starting the process to strike the company off the register — and the company and its directors may face consequences. Late or missing filings can also cause practical problems, such as an out-of-date public record when you apply for finance, open a bank account, or sell the business. If a filing has been missed, it is usually best to deal with it promptly rather than wait until the next anniversary.
