Filing a confirmation statement does not make a company compliant with every Companies House or tax obligation — it simply confirms the register information at that point in time.

Limited companies registered in the UK generally need to file a confirmation statement, and that includes dormant companies, non-trading companies and companies that have only recently been incorporated. Companies limited by guarantee and some other company types have comparable obligations. If you are unsure whether your particular entity needs to file, it is worth checking with Companies House or asking an accountant who understands your company's circumstances.

A UK company generally needs to file at least one confirmation statement every 12 months, following what Companies House calls a review period. This is completely separate from your accounting period and your annual accounts deadline. You can also file more than one confirmation statement within a review period if your company information changes and you want the register updated sooner. Companies House sets a deadline that falls after the review period ends, and you can check your own dates on your company's page at Companies House.

The confirmation statement is a chance to check the details Companies House holds: the registered office address, directors and their service addresses, the company secretary if there is one, shareholders, the statement of capital, people with significant control, and your SIC code or principal business activity. If something is wrong, certain changes usually need to be reported separately rather than simply noted — for example the appointment or resignation of a director, a change of registered office, or a share issue. No, they are three different things. Statutory annual accounts show the financial position and performance of the company and follow a set format. A Corporation Tax Return (CT600) is filed with HMRC to report taxable profits and work out the tax due. A confirmation statement is filed with Companies House and is purely about confirming register information — it involves no figures, no tax calculation and no profit and loss. Submitting one does not satisfy the others, and each has its own deadline.

In most cases, yes. Being dormant or not trading does not normally remove the requirement to file a confirmation statement, and dormant companies still have their own review periods running. Dormant status can affect the type of accounts you file, but it does not usually switch off the confirmation statement obligation. If your company has been dormant for some time and you have lost track of its filing dates, it is worth checking the position before the next review period ends.

Leaving a confirmation statement unfiled is a breach of the filing requirement. Companies House can take action against companies that do not file, which can include beginning the process to strike the company off the register. Missed filings can also cause difficulty later, such as when a bank, lender or buyer reviews your company's record.
