In general, a UK company needs to file a confirmation statement at least once every 12 months. That 12-month period is your review period, and it normally runs from the date of your last confirmation statement — or from the date of incorporation for a first statement. The confirmation statement itself will show the date by which it should be filed, and Companies House expects it within a short window after the review period ends. You can also file more than once during a review period if your information changes and you want the public record corrected sooner, although each submission is treated as a separate filing.

Yes — in most cases, being dormant or not trading does not remove the requirement to file a confirmation statement. A dormant company still appears on the public register, so the information held about it still needs confirming on a regular basis. It's a common misunderstanding that a quiet company has nothing to file. It's also worth remembering that 'dormant' can mean slightly different things for Companies House and for tax purposes, so if you're unsure how your company is treated, it's best to check.

Annual (statutory) accounts report your company's financial position and performance for an accounting period and are filed at Companies House. A Corporation Tax Return — the CT600 — is submitted to HMRC to report the company's taxable profits. A confirmation statement goes to Companies House and confirms that the company's registered details are correct. Filing one of these does not satisfy the others, so many companies will need to deal with all three, plus a VAT Return or Self Assessment where applicable.
