A confirmation statement is a filing made to Companies House that confirms the information held about your company on the public register is accurate and up to date. It is often called a CS01. Crucially, it is not a set of accounts and it is not a tax return — it deals with your company's registered details, such as the registered office address, directors, shareholders and people with significant control, rather than your income, expenses or tax position.
If you run a company registered at Companies House — whether that company is based in Fishguard, elsewhere in Wales, or anywhere in the UK — you will normally need to complete Confirmation Statement Filing. This generally applies to trading companies, dormant companies and companies that are not currently trading. Because the requirement depends on your company's particular circumstances, it is worth checking your company record if you are unsure whether a confirmation statement is due.
A UK company generally needs to file a confirmation statement at least once every 12 months, even if nothing has changed and even if the company is dormant or not trading. In most cases, yes. Being dormant or not trading does not normally remove the obligation to file a confirmation statement, because the filing confirms that the record is correct rather than reporting any trading activity. A dormant company may still have directors, shareholders and a registered office on the register, all of which need to be accurate. Dormancy is also a separate concept from your accounts and tax obligations, so treat the confirmation statement as its own requirement.
These are three separate filings with different purposes. A confirmation statement confirms that the details Companies House holds about your company are accurate. Annual (statutory) accounts report your company's financial position and performance and are filed with Companies House. A Corporation Tax Return, usually the CT600, is filed with HMRC to report profits and work out corporation tax. Completing Confirmation Statement Filing does not replace your accounts or your tax return, and it does not mean every other filing obligation has been dealt with.
The confirmation statement is a statutory filing, so Companies House expects it to be submitted when it falls due. If it is not filed, your company record can become out of date, Companies House can take action in line with its own processes, and persistent non-filing can ultimately lead to steps being taken to strike the company off the register. Directors should also remember that keeping the register accurate is part of their responsibilities. Filing on time is the simplest way to avoid these risks.
