A confirmation statement is a filing submitted to Companies House that confirms the information held about your company is accurate and up to date. It is often referred to by its form name, CS01. Most UK limited companies and limited liability partnerships need Confirmation Statement Filing at least once every 12 months. That includes companies that are actively trading, companies that are dormant, and companies that are not trading. If your company remains registered at Companies House, it will normally have a confirmation statement requirement unless a specific exemption applies to your circumstances.
Generally, a confirmation statement must be filed at least once every 12 months, even if nothing has changed since the last one. That 12-month cycle is called a review period. You can also file more than one confirmation statement within a review period when information changes and you want the public record updated promptly. The confirmation statement cycle is separate from your accounting period and from your annual accounts deadline, so it is worth tracking both.
The confirmation statement is used to confirm details such as the registered office address, directors and company secretary, shareholders and share capital, People with Significant Control, and the SIC code describing what the company does. If any of these details have changed, the change usually needs to be reported to Companies House separately, and the confirmation statement then confirms the updated position.
Yes, in most cases. Dormancy affects your accounts and tax position, not your obligation to keep your Companies House record accurate. A dormant company that has had no significant accounting transactions will usually still need Confirmation Statement Filing at least once every 12 months. Being dormant does not normally remove the requirement.
They are two separate filings with two different purposes. Annual accounts report your company's financial performance and position for an accounting period, while a confirmation statement simply confirms that Companies House holds correct information about the company and its officers and members. Filing one does not satisfy the requirement to file the other, and each has its own deadline.
A Corporation Tax Return, often called a CT600, is filed with HMRC and reports the company's taxable profits and tax liability. A confirmation statement is filed with Companies House and confirms the accuracy of the company's registered information. They go to different organisations, serve different purposes and have different deadlines, so both need to be handled on time.
If a confirmation statement is not filed when it is due, the company falls into default and Companies House may take action. Failure to file can also lead to the company being struck off the register, and in serious cases the offence can extend to the company's officers. It is far simpler to keep the filing up to date than to deal with a defaulted record later.
