A confirmation statement is a Companies House filing that confirms the information the register holds about your company is correct as at a given date. It covers things such as the registered office address, directors, shareholders, share capital and people with significant control. It is a confirmation exercise rather than a financial report, so there are no figures, accounts or tax calculations involved.
In general, any company registered at Companies House must file a confirmation statement at least once every 12 months. That includes trading companies, dormant companies and companies that are not currently trading. If you are a director of a UK limited company or a member of a limited liability partnership, it is worth checking your company's review period and filing position rather than assuming you are exempt.
A company must normally file at least one confirmation statement every 12 months, based on its own review period rather than the tax year or accounting period. You can file more than one confirmation statement within the same review period if your company information changes and you want the register updated sooner. Your review period dates are specific to your company, so it is best to check them individually.
The filing confirms the information Companies House already holds, including the company name and number, registered office address, directors and secretaries, shareholder and share capital details, and people with significant control. Where any of that information has changed, it usually needs to be reported separately through the relevant Companies House form rather than simply noted on the confirmation statement.
Yes, in most cases dormancy does not remove the requirement to file. A dormant company still has a Companies House record, and that record still needs to be confirmed at least once every 12 months. Dormancy may affect what you do about accounts or Corporation Tax, but it does not by itself excuse a company from its confirmation statement.
Annual accounts are the financial statements showing your company's position and performance for an accounting period, and they are filed at Companies House in a different way. A confirmation statement contains no financial information at all. The two have different deadlines, different purposes and different review periods, so filing one does not satisfy the other.
A Corporation Tax Return, often referred to as a CT600, is submitted to HMRC to report taxable profits and work out how much Corporation Tax is due. A confirmation statement is sent to Companies House and simply confirms company information. They are dealt with by different bodies, for different reasons, and neither substitutes for the other. A VAT Return is a separate filing again.
If a confirmation statement is not filed, the company's record at Companies House can be shown as overdue, and Companies House may take further action if the position is left unresolved. Because the consequences can depend on the company's circumstances and how long the filing remains outstanding, the safest approach is to deal with it promptly or speak to an accountant about putting it right.
