FRS 105 is the UK financial reporting standard for qualifying micro-entities. It sits within the micro-entities regime and sets out how the smallest companies prepare their statutory accounts, including the form and content of the balance sheet, profit and loss account and notes. Because it is a simplified framework, the accounts contain far fewer disclosures than those prepared under a fuller standard such as FRS 102.
It is intended for companies that qualify for the micro-entities regime and then choose to apply it. Qualifying is not the same as being required to use it — the regime is an available option, and FRS 105 applies when that option is taken. Companies that do not qualify, or that prefer a different framework, prepare their accounts under another standard.
No. The micro-entities regime is a choice. A company that qualifies can decide whether to apply it, and FRS 105 only comes into play when that decision is made. Some qualifying companies prefer a different framework because of how it treats particular items or because of the level of disclosure they want to provide.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions on its own is not the whole picture — other rules and exclusions can apply, so eligibility should be checked against your company's specific circumstances rather than assumed.
Both are UK accounting standards, but they are aimed at different sizes and levels of complexity. FRS 105 is the micro-entities framework and is deliberately streamlined, with a simplified presentation and limited disclosures. FRS 102 is a fuller standard that applies more detailed recognition, measurement and disclosure requirements. A company's choice typically comes down to whether it qualifies for the micro-entities regime and whether the simplified approach suits its circumstances.
Yes — statutory accounts prepared under FRS 105 are filed with Companies House as the company's annual accounts. Preparing the accounts and filing them are two steps in the same process, and the figures filed should reflect the framework used. This is quite separate from your Corporation Tax Return (CT600), which is submitted to HMRC, and from your Confirmation Statement.
They are separate filings with different purposes. FRS 105 governs how the statutory financial statements are prepared — the accounting and financial reporting side. A CT600 is the Corporation Tax Return submitted to HMRC to report the company's taxable position. The figures in your accounts often form the starting point for the tax computation, but the two documents are not the same thing and neither replaces the other.
Typically you would provide your bookkeeping records for the period, bank statements and reconciliations, details of income and expenses, information on fixed assets and any depreciation, and a note of amounts owed to and by the company. Details of any loans, director balances or share capital are also relevant. It helps to have the previous period's accounts to hand so comparatives line up correctly.
A newly incorporated company may be able to use the micro-entities regime in its first accounting period if it meets the applicable conditions, but the size tests look at the relevant period and there can be additional considerations for first-time filers. It is worth checking your position before assuming either way, particularly if you expect turnover or headcount to grow.
