FRS 105 Micro Entity Accounts in South East London

FRS 105 Micro Entity Accounts are prepared under the financial reporting framework that applies to qualifying UK micro-entities which choose to adopt the micro-entities regime. For many small companies across South East London, that framework offers a simpler, more proportionate way to present financial statements, with streamlined disclosure requirements and figures typically prepared on a historic cost basis. Choosing FRS 105 is a decision rather than a default, and it depends on the company meeting the applicable eligibility conditions and being comfortable with the reduced level of detail the standard permits. Professional preparation helps ensure your accounts are put together appropriately for your company’s specific circumstances — its trade, its assets and liabilities, its share structure and any transactions that need careful treatment — so the resulting financial statements are consistent, clearly presented and ready for the company’s reporting and filing obligations. We work with directors of South East London businesses to review the numbers, explain the choices available and prepare FRS 105 Micro Entity Accounts that reflect what actually happened in the period.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── FRS 105 EXPLAINED

FRS 105 Explained: What It Means for UK Micro-Entities

FRS 105 is the UK financial reporting standard written specifically for micro-entities — the smallest companies covered by the UK’s micro-entities regime. In plain terms, it is a simplified accounting framework. Where a qualifying company chooses to apply the micro-entities regime, FRS 105 is the standard used to prepare its financial statements. That usually means accounts built on historic cost rather than fair value, a shorter set of notes, and a balance sheet and profit and loss account that present a straightforward picture of the business. It is not a tax regime and it is not a substitute for a Corporation Tax Return; it is about how the financial statements themselves are prepared. The trade-off is simplicity in exchange for less detailed disclosure, which is why it tends to suit owner-managed companies that want clear, uncomplicated accounts. Importantly, applying the micro-entities regime is a choice, and not every small company will qualify or find it suitable. If you run a limited company in South East London and want to understand whether FRS 105 Micro Entity Accounts are the right fit, a short conversation about your company’s size, structure and reporting needs is usually the quickest way to find out.

Who Can Use FRS 105 in the UK?

FRS 105 is available to UK companies that qualify for the micro-entities regime and decide to apply it. Qualification has two parts: the company must fall within the size criteria for micro-entities, and it must not be caught by the other eligibility rules and exclusions that can apply to certain companies regardless of size. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting two of those three tests is the starting point, not the whole answer — a company can satisfy the size tests and still not be eligible, and the tests are applied on the basis set out in the relevant rules. Even where a company does qualify, using the micro-entities regime is a choice: FRS 102 Section 1A remains an option for many small companies, and some directors prefer its fuller disclosures. If you run a company in South East London and want to know whether FRS 105 Micro Entity Accounts are open to you, we can review your figures and structure and explain where you stand.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts starts with your company’s financial records — bookkeeping, bank and credit card transactions, sales and purchase invoices, payroll information, asset purchases, loans and director transactions — and applies the recognition, measurement and disclosure requirements that go with the micro-entities regime. The aim is financial statements that are accurate, internally consistent and presented the way the framework expects for a company of your size and circumstances. It is worth being clear about the different obligations involved: preparing and filing the company’s financial statements at Companies House is one task, while submitting a Corporation Tax Return (CT600) to HMRC is a separate one, calculated from the same underlying records but governed by different rules. A Confirmation Statement is separate again. We prepare FRS 105 Micro Entity Accounts for South East London companies on that basis, working through the figures with you, flagging anything that needs a decision, and explaining what the accounts show in language that makes sense to a director rather than an accountant. Where you also need Corporation Tax support, that can be handled alongside the accounts as a distinct piece of work.

FRS 105 is the UK financial reporting standard for micro-entities. It sits within the UK's micro-entities regime and sets out a simplified framework for preparing financial statements: figures are generally prepared on a historic cost basis, revaluation and fair value accounting are not available, and the disclosure requirements are considerably shorter than under other standards. In practice it produces a concise balance sheet, profit and loss account and small set of notes for companies that qualify and choose to use it.

FRS 105 is intended for companies that qualify for the micro-entities regime and then choose to apply it. Qualifying is not automatic — a company needs to fall within the applicable size criteria and must not be excluded by the other eligibility rules that apply, which can depend on the type of company and its activities. Meeting the size thresholds alone does not guarantee eligibility, so it is worth checking your company's position before deciding to prepare accounts on this basis.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies can choose whether to apply it, and where that choice is made, FRS 105 is the standard used to prepare the financial statements. Many qualifying companies instead prepare accounts under FRS 102 Section 1A, which offers more disclosure and some additional measurement options. The right choice depends on your circumstances and who uses the accounts.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These are the headline size tests, and other eligibility rules and exclusions can still apply on top of them, so satisfying the thresholds does not by itself confirm that a company qualifies.

Both are UK financial reporting standards, but they are aimed at different sizes of company and offer different levels of detail. FRS 105 is the micro-entities standard: simpler, historic cost based, with limited disclosures. FRS 102 (including Section 1A for small entities) allows more measurement options such as fair value in certain cases and requires fuller notes, which can be useful where lenders, investors or group companies want more information. Choosing between them is a reporting decision, not a tax one.

A company's financial statements are filed at Companies House as part of its annual accounts filing, and micro-entity accounts prepared under FRS 105 are filed in the format the micro-entities regime permits. That filing is separate from the company's Corporation Tax Return (CT600), which goes to HMRC, and from its Confirmation Statement, which confirms the register information Companies House holds. They are three distinct obligations with different purposes and different submission routes.

Yes. FRS 105 Micro Entity Accounts deal with how the financial statements are prepared and reported, while the CT600 is the company's Corporation Tax Return submitted to HMRC. The accounts are usually the starting point for the tax computation, but tax rules — for example on capital allowances, disallowable expenses or losses — mean the taxable figures can differ from the accounting figures. It is common to prepare both together, but they remain separate deliverables.

Typically we need your bookkeeping or accounting records for the period, bank and credit card statements, sales and purchase invoices, details of amounts owed to and by the company, payroll and employee information, records of assets bought or sold, loan and director's loan movements, stock or work in progress figures where relevant, and the previous year's accounts. If records are incomplete or held in different places, we can talk through what is missing and how best to pull it together before the accounts are prepared.

A newly incorporated company may be able to prepare its first set of accounts under FRS 105 if it qualifies for the micro-entities regime and chooses to apply it. Eligibility still depends on the applicable size criteria and the other rules that apply, and a first period can cover more than twelve months, so it is sensible to look at the position before the year end rather than afterwards. We can review your circumstances and discuss whether FRS 105 is appropriate for your first accounts.

Company filing requirements and the way accounts are submitted are changing, with a move towards filing accounts and other information digitally through compatible software rather than by alternative routes, alongside changes to what can be filed. Because the detail and timing of these changes matter, it is worth reviewing your company's filing approach before your next year end. We can talk through how current and forthcoming requirements affect how your FRS 105 Micro Entity Accounts are prepared and submitted.
