It sets out how qualifying micro-entities should prepare their financial statements, with simplified recognition and measurement requirements and a much lighter disclosure burden than the standards used by larger companies. It sits within UK GAAP alongside FRS 102, which is the framework most small and medium-sized companies use.
FRS 105 is available to companies that qualify for the UK micro-entities regime and choose to apply it. A company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those conditions apply for accounting periods beginning on or after 6 April 2025, and other rules and exclusions can affect whether a particular entity qualifies.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that meets the size conditions may choose to apply the micro-entities regime and prepare FRS 105 accounts, or it may instead prepare accounts under the small companies regime using FRS 102 Section 1A. The choice is usually made with the company's circumstances, reporting needs and stakeholders in mind.
FRS 102 is the main UK financial reporting standard for companies that are not micro-entities, and it includes Section 1A for small companies. FRS 105 is the more streamlined standard for micro-entities, with simpler measurement rules and fewer disclosures. Preparing accounts under FRS 105 does not remove the requirement to file statutory accounts with Companies House where that requirement applies to your company. What the micro-entities regime does affect is the content and format of the accounts themselves, since micro-entity accounts can be delivered in a simplified form. The exact filing position depends on your company's circumstances, so it is worth confirming before the accounts are finalised.
Yes. The FRS 105 financial statements are the company's statutory accounts, prepared under the micro-entities regime and filed at Companies House where required. The CT600 is a separate Corporation Tax Return submitted to HMRC, which reports the company's taxable profits and is calculated with reference to the figures in the accounts but is not the same document. The two are prepared for different authorities and served through different channels.
