FRS 105 is the UK financial reporting standard for micro-entities. It sets out how qualifying companies that choose to apply the micro-entities regime prepare their financial statements. Compared with larger frameworks, it is deliberately simplified: accounts are prepared on a historical cost basis, so there is no revaluation of assets, no fair value accounting and no deferred tax, and only a limited set of notes is required. The aim is a clear, proportionate set of accounts that suits the size of the business.
FRS 105 is for companies that qualify for the micro-entities regime and decide to apply it. In broad terms, a company needs to be within the size limits for the regime and must not fall into any of the excluded categories. Meeting the size tests is not the whole story, because other eligibility rules and exclusions can apply. Directors also have to consider whether the regime remains appropriate if the company's activity or structure changes. We review eligibility case by case before any accounts are prepared.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies can generally choose to use it, but it may also be able to prepare accounts under the small companies regime instead, depending on its circumstances. What matters is that the choice is made consistently and that the accounts are prepared properly under whichever framework is adopted. If you are unsure which option suits your company, it is worth discussing the differences before you file.
For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These are the applicable size conditions, but they sit alongside other rules and exclusions, so satisfying two of the three does not automatically mean a company qualifies. The position should always be checked against your own figures and circumstances.
FRS 102 is the wider UK standard used by many small and medium-sized companies, and it allows or requires more complex accounting treatments, including certain fair value measurements, deferred tax and considerably more disclosure. FRS 105 is the simpler micro-entities standard, restricted to historical cost accounting with minimal notes. Choosing between them depends on eligibility and what the company needs from its accounts. If a company no longer qualifies as a micro-entity, it generally moves to a different framework rather than staying on FRS 105.
Yes. Where a company prepares accounts under the micro-entities regime, those accounts are filed with Companies House within the statutory filing deadline for that company. The accounts filed are the financial statements themselves. Filing accounts is a separate obligation from submitting a Corporation Tax Return, and it is also separate from the Confirmation Statement. Keeping these three things distinct helps avoid the common confusion about what has and has not been filed. Yes, they are two different things. FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime and filed with Companies House. A CT600 is the Corporation Tax Return submitted to HMRC, and it deals with the company's tax position rather than the accounts format. The figures in the accounts usually feed into the tax return, which is why preparation is often handled together, but the two documents serve different purposes, go to different bodies and follow different rules.
