FRS 105 is a UK financial reporting standard that sets out how a qualifying micro-entity prepares its annual financial statements under the micro-entities regime. It is designed to be simpler than fuller frameworks: assets are generally measured at historical cost, certain fair value and deferred tax adjustments are not recognised, and the number of required disclosures is kept to a minimum. It is a reporting framework, not a tax filing, so it deals with how your accounts look rather than how much Corporation Tax your company owes.
FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions is not the whole story — other eligibility rules and exclusions can apply, and some companies are excluded from the regime. Your position should be checked against the specific accounting period before FRS 105 is used.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies can generally choose whether to apply it or to prepare its accounts under a different framework, and that choice can be revisited from year to year as circumstances change — for example, if the company grows or takes on more complex arrangements. Because the framework affects how the accounts are presented, it is worth considering the choice deliberately rather than by default, and it should be documented in the accounts as required.
Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is the micro-entities framework and is deliberately pared back, with historical cost accounting and a short list of disclosures. FRS 102 is a fuller framework used by larger or more complex entities, and it can involve revaluations, fair value measurement, deferred tax, more detailed accounting policies and far more extensive notes. In practice, the difference shows up in how much judgement and disclosure the accounts contain — and usually in how long they take to prepare.
Where a company prepares FRS 105 Micro Entity Accounts for its financial year, those accounts are normally the ones used to meet its accounts filing obligation at Companies House, subject to the filing requirements and any exemptions that apply to the company. Filing the accounts is a separate exercise from other company filings such as the Confirmation Statement, and it is separate again from anything submitted to HMRC. It is worth noting that the way accounts are filed, and what is required to be included, is subject to ongoing change, so it is sensible to confirm the current position for your filing date before you submit.
Yes, they are two different things. FRS 105 Micro Entity Accounts are the company's financial statements, prepared under the micro-entities framework and normally filed at Companies House. A CT600 is the Corporation Tax Return submitted to HMRC to report the company's taxable profits and work out the tax due. The two need to be consistent with each other — the accounts are usually the starting point for the tax computation — but they are prepared for different audiences, follow different rules and have their own deadlines.
A new company is not automatically a micro-entity, but in its first accounting period a small trading company will often fall within the size conditions. Eligibility depends on the actual figures for the period and on the other rules and exclusions that apply to the regime, so it needs to be assessed rather than assumed. First-year accounts have some practical quirks too, such as choosing an accounting reference date and dealing with the period covered, so it is usually worth getting advice early rather than leaving the accounts until the filing deadline is close.
For most straightforward companies we need your bank statements for the full accounting period, sales invoices or a summary of income, purchase invoices and receipts, details of any payroll and director's pay or dividends, loan or finance agreements and the interest charged, details of any equipment or vehicles bought or sold, stock or work in progress at the period end, and your previous year's accounts if there are any. If you use bookkeeping software, giving us access is usually the quickest route. Anything missing can often be worked around, but the more complete the records, the smoother the preparation.
