FRS 105 is the UK financial reporting standard designed for micro-entities. It sets out how a qualifying company that chooses the micro-entities regime prepares its annual accounts, allowing a simplified balance sheet format and limited disclosures compared with larger frameworks. Think of it as the shortest, least burdensome route through the accounting standards for the very smallest companies — the framework, rather than the filing itself.
FRS 105 is available to companies that qualify for the UK micro-entities regime and decide to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting the size conditions is not the whole story — other eligibility rules and certain exclusions can apply, so the position should be checked for your company rather than assumed.
No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies may choose to apply it, or it may prefer to prepare accounts under a different framework. In practice the choice often comes down to how much disclosure the directors want, whether there are external parties such as lenders who would like more detail, and how the company is structured. FRS 105 applies when the regime is chosen, not simply because a company is small.
For accounting periods beginning on or after 6 April 2025, the test is generally that a company meets at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. There are additional rules and possible exclusions — for example, certain types of company or group structures may not be eligible even if they meet the size conditions — so eligibility should always be confirmed against your specific circumstances and the current rules.
Both are UK financial reporting standards, but they sit at different levels of complexity. FRS 105 is the micro-entities standard, with a very limited balance sheet-focused format and minimal disclosures. FRS 102 is the standard used by most other companies, including many small companies, and requires considerably more disclosure and a fuller presentation of performance, such as a profit and loss account and a wider set of notes. Choosing between them affects what your accounts look like and how much information they contain, which is why the decision is worth taking deliberately.
If a company's accounts are prepared under FRS 105, those financial statements still need to be delivered to Companies House as part of the company's annual accounts where a filing obligation applies, and typically also to HMRC alongside the Corporation Tax filing. The framework determines how the accounts are prepared, while the filing obligations determine what must be submitted, to whom and by when. Filing requirements do change from time to time, so it is sensible to confirm the current position for your company's year end.
Yes, they are two distinct things. FRS 105 Micro Entity Accounts are the company's financial statements, prepared under the micro-entities reporting framework and generally filed with Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, calculating the tax due on the company's taxable profits. The starting point for the CT600 is usually the accounts, but tax adjustments mean the taxable profit will often differ from the figure shown in the financial statements. Preparing accounts does not, in itself, complete the Corporation Tax position.
Broadly, we need the company's records for the period: bookkeeping or accounting records, bank and credit card statements, details of sales and purchases, payroll and employee information, any loan or hire purchase agreements, and schedules for fixed assets and stock if applicable. Details of any transactions with directors or related parties are also helpful, as are prior year accounts and any notes on unusual items. The cleaner and more complete the records, the more straightforward the preparation — and the easier it is to confirm the right accounting treatment for anything out of the ordinary.
