FRS 105 Micro Entity Accounts in Gateshead

FRS 105 Micro Entity Accounts provide the financial reporting framework for qualifying micro-entities that choose to apply the UK micro-entities regime. For many small companies in Gateshead, it is the simplest and most cost-effective way to produce statutory accounts, because FRS 105 financial statements are prepared on a historical cost basis with a reduced set of disclosure requirements. Professional preparation helps ensure the accounts are put together appropriately for your company’s particular circumstances — the nature of your trade, the transactions that have taken place during the period, your balance sheet position and the framework your company has chosen to apply. It also helps keep the accounts consistent from year to year and aligned with the information used for your other filing obligations. Eligibility is not automatic, and choosing the micro-entities regime is a decision that should be taken deliberately rather than assumed, which is why a short conversation about your company’s size and structure is a sensible first step.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Reporting Framework

FRS 105 is the UK financial reporting standard written specifically for micro-entities. It sits alongside FRS 102 within the UK’s accounting framework and is applied when a qualifying company chooses to use the micro-entities regime. In plain terms, FRS 105 lets a small company prepare simpler statutory financial statements: the accounts are based on historical cost, there is no requirement to recognise fair value adjustments or revaluations, deferred tax is not recognised, and the notes to the accounts are limited to the disclosures the standard requires. That means the profit and loss account and balance sheet can look considerably leaner than under a fuller framework, which keeps the reporting process straightforward for owner-managed businesses in Gateshead. The key point to understand is that FRS 105 is not something a company is automatically placed into — it is an available accounting regime, and FRS 105 applies once a qualifying company has chosen to adopt it. It deals with how the financial statements are prepared and presented, and it is separate from a company’s Corporation Tax position, which is dealt with through a CT600 return to HMRC.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. Qualifying is primarily a question of size. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those conditions are assessed on the company’s own figures for the relevant period, and the assessment needs revisiting each year, because a company that grows or takes on more staff can move outside the regime. It is also important to be clear that meeting the size conditions is not the whole test. Other eligibility rules and exclusions can apply, and certain companies are prevented from using the micro-entities regime altogether, so satisfying the thresholds does not automatically guarantee eligibility. On top of that, using FRS 105 is a choice: a qualifying company may decide a fuller framework suits it better. For a Gateshead company, the sensible approach is to check both the eligibility rules and the practical consequences before deciding which framework to apply.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Professionally Prepared FRS 105 Micro Entity Accounts

Preparing FRS 105 Micro Entity Accounts is not simply a matter of copying last year’s figures. The accounts need to reflect your company’s actual financial records for the period, be presented in the format FRS 105 requires, and include the disclosures the standard calls for — while excluding those it does not. We work from the bookkeeping and supporting records you provide, review the figures with you, and prepare financial statements that are consistent with the framework your company has chosen to apply. It helps to keep two things clearly separate. First, there is the statutory accounts preparation and, where required, their filing at Companies House. Second, there are your Corporation Tax obligations, which are dealt with separately through a CT600 return submitted to HMRC — the accounts and the tax return are connected in terms of the figures used, but they are distinct documents with distinct purposes and deadlines. Getting the accounts right at the preparation stage makes the tax side easier to deal with and reduces the chance of corrections later on.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how qualifying companies that choose to use the micro-entities regime should prepare their statutory financial statements. Compared with a fuller framework, FRS 105 is simpler: accounts are prepared on a historical cost basis, revaluations and fair value accounting are not used, deferred tax is not recognised, and the required notes are limited. It is a financial reporting standard, not a tax regime, so it governs how the accounts are prepared rather than how much tax a company pays.

FRS 105 is available to companies that qualify for the UK micro-entities regime and decide to apply it. Qualifying is about size, and there are also exclusions and other rules that can affect whether a company is eligible. It is not limited to any particular type of trade or sector, and a small Gateshead company should look at its own figures rather than assume it either does or does not qualify. Because the test is specific, it is worth checking your position with someone who prepares accounts under this framework regularly.

No. Being small enough to qualify under the micro-entities regime does not force a company to use FRS 105. The regime is an option, and within it FRS 105 is the standard that applies when that option is taken. A qualifying company may instead prepare accounts under a fuller framework if that suits its circumstances better — for example, if it needs more detailed information, has more complex transactions, or has a lender or investor who expects a fuller set of statements. The important thing is that the choice is made deliberately and applied consistently.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting these size conditions is the starting point, not the whole answer — other eligibility rules and exclusions can also apply, and the position needs to be looked at for each accounting period because a growing company can move out of the regime. Older thresholds that you may see quoted online are out of date and should not be relied on.

Both sit within the UK accounting framework, but they are aimed at different sizes of company. FRS 105 is the micro-entities standard: it is the most streamlined option, built around historical cost and a much shorter set of disclosures. FRS 102 is the standard used by larger small companies and others, and it allows or requires more accounting treatments and considerably more disclosure — for example around financial instruments, fair value and deferred tax. In practice, the choice usually comes down to which regime the company qualifies for and can use, and how much detail the accounts genuinely need to carry.

Statutory accounts prepared under FRS 105 are still statutory accounts, so they need to be filed at Companies House in line with the filing requirements that apply to your company. Using the micro-entities regime does not remove the filing obligation — it affects how the accounts are prepared and how much they disclose. The filing itself is a separate step from preparing the accounts, and it is also separate from anything submitted to HMRC. It is worth keeping your accounts and your filing dates in view together so nothing is overlooked.

Yes. FRS 105 accounts are financial statements prepared under an accounting framework; a CT600 is a Corporation Tax return submitted to HMRC to report the company's taxable profits and work out the tax due. The figures in the accounts typically form the starting point for the tax computation, but adjustments are often needed, and the two documents are prepared for different purposes and sent to different places. Having tidy, well-prepared FRS 105 financial statements makes the tax return easier to put together, but it does not replace it.

We normally need your bookkeeping records or accounting software data for the period, bank and credit card statements, sales and purchase invoices where relevant, details of any assets bought or sold, loan and hire purchase agreements, stock or work in progress figures, payroll information, and the previous year's accounts for comparison. If your company has anything unusual during the period — a director's loan, a grant, a one-off transaction — let us know so it can be treated properly. The more complete the records, the more straightforward the preparation, and we can tell you exactly what is missing once we have seen what you have.
