FRS 105 Micro Entity Accounts in Chorley

FRS 105 provides the financial reporting framework for qualifying micro-entities that choose to apply the micro-entities regime. For a small company in Chorley, that means a set of accounts prepared on a simpler and more proportionate basis than the larger reporting frameworks, built from the company’s own financial records and presented in a way that suits the size of the business. Professional preparation helps ensure the accounts are produced appropriately for your circumstances — whether this is a first set of accounts after incorporation or an established trading pattern — so that the figures, presentation, supporting workings and any disclosures reflect the framework rather than a generic template. It also helps to have someone confirm that the micro-entities regime is the right fit for your company before the accounts are prepared, because FRS 105 Micro Entity Accounts are only available to companies that qualify for the regime and choose to apply it. If you would like straightforward help with FRS 105 Micro Entity Accounts in Chorley, we can review your position and explain the options in plain English.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The UK Micro-Entities Regime in Plain English

In simple terms, FRS 105 is the UK financial reporting standard written specifically for micro-entities. It is the standard that applies when a company qualifies for the micro-entities regime and decides to use it. Where other frameworks require a longer set of financial statements with substantial notes, FRS 105 keeps things tight: a simplified balance sheet, a streamlined profit and loss account, and a much shorter set of disclosures. There are also fewer accounting policy choices to make, which reduces the room for complexity and keeps the numbers anchored to straightforward historical cost information. The important point is that FRS 105 is a choice available to qualifying companies rather than something that happens automatically — a company that meets the size conditions can still decide to prepare its accounts under a different framework, such as FRS 102. For a Chorley-based company, the practical benefit is a proportionate set of financial statements that meets the reporting requirements without unnecessary detail, provided the regime genuinely suits the company’s circumstances. We can walk you through how FRS 105 Micro Entity Accounts would look for your business and what it means for your reporting.

Who Can Use FRS 105 in the UK? Eligibility for Chorley Companies

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those conditions are assessed in line with the relevant rules, and the figures used are not always the same as the ones you might instinctively reach for, so the calculation is worth getting right. Equally important, meeting the size conditions does not automatically guarantee eligibility. Other eligibility rules and exclusions can apply, and certain companies are not permitted to use the micro-entities regime at all — for example, where the company’s structure or activities fall outside the regime’s scope. A company that does qualify still has a choice: it can apply the micro-entities regime and prepare FRS 105 Micro Entity Accounts, or it can report under another framework such as FRS 102. If you run a company in Chorley and want to know where you stand, we can review your circumstances and set out the options clearly.

Professionally Prepared FRS 105 Micro Entity Accounts in Chorley

Well-prepared FRS 105 Micro Entity Accounts start with accurate, well-maintained financial records. That typically means complete bookkeeping, reconciled bank accounts, clear sales and purchase records, payroll information, details of assets acquired or disposed of, and any loan or director’s loan account movements for the period. From there, the financial statements are prepared using the measurement and disclosure requirements that apply to the micro-entities regime, with the workings retained so the figures can be traced back to the underlying records. We prepare FRS 105 financial statements from the information you provide and, where required, prepare and submit the accounts to Companies House on your behalf. It is worth keeping two things clearly separate: the annual accounts and the company’s Corporation Tax obligations are not the same filing. A CT600 Corporation Tax Return is submitted to HMRC and is based on the company’s taxable profits, while the accounts are the financial statements for the period. Likewise, a Confirmation Statement is a separate filing that confirms company information held at Companies House. We can help you keep track of each of these so nothing is overlooked.

FRS 105 is the UK financial reporting standard that applies to the micro-entities regime. It sets out how micro-entity accounts should be prepared and is deliberately short and simple compared with the main UK GAAP standards. In practice, it means a streamlined balance sheet, a simplified profit and loss account and far fewer disclosure notes, which keeps the financial statements proportionate to the size of the business. FRS 105 applies to a company when that company qualifies for the micro-entities regime and chooses to use it.

No. Qualifying for the micro-entities regime does not mean a company has to use it. A company that meets the eligibility conditions can either choose to apply the micro-entities regime and therefore prepare FRS 105 accounts, or it can prepare its accounts under a different framework, such as FRS 102. The decision is usually made with the company's wider needs in mind — for example, whether a lender, investor, group parent or other interested party expects a fuller set of accounts with more disclosure.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Meeting those size conditions is not the whole picture, however. Other rules and exclusions apply, and some companies are excluded from the micro-entities regime regardless of their size. That is why eligibility is best confirmed by looking at your specific circumstances rather than assuming the regime applies.

FRS 102 is the main UK GAAP standard and is used by a much wider range of companies, including small companies that apply Section 1A. FRS 105 is a separate, shorter standard written only for micro-entities. The two differ in measurement and disclosure: FRS 105 offers simpler measurement with fewer accounting policy choices and significantly reduced disclosure, while FRS 102 permits more options and generally requires more notes to the accounts. Neither is inherently better — the right one depends on the company's size, its eligibility and what the users of the accounts need to see.

Where a company is required to file annual accounts, the accounts prepared under FRS 105 are the accounts that get filed at Companies House. Filing the accounts is a separate exercise from filing a Confirmation Statement, which simply confirms that the company information held by Companies House remains correct, and separate again from your Corporation Tax Return. If you are unsure whether your company is required to file accounts for a particular period, or whether any exemption applies, that is something to check rather than assume.

Yes — they are two different documents prepared for two different purposes. FRS 105 Micro Entity Accounts are the financial statements for the period and are filed at Companies House where required. A CT600 is the Corporation Tax Return submitted to HMRC. The tax return usually starts from the figures in the accounts, but it is not simply a copy of them: adjustments such as disallowable expenditure, capital allowances, and losses brought forward can mean the taxable profit differs from the accounting profit. Keeping the two clearly separate helps avoid confusion about what has been filed and with whom.

A newly incorporated company can use FRS 105 if it qualifies for the micro-entities regime and chooses to apply it. A new company has no trading history, so eligibility is generally considered in light of what is expected for the first accounting period, and the position is reviewed as the business develops. Many new companies start out on the micro-entities regime and move to a different framework later if turnover, balance sheet total or employee numbers grow beyond the size conditions.

Filing requirements for company accounts continue to evolve. Companies House has been introducing reforms under the Economic Crime and Corporate Transparency Act, which include a move towards accounts being filed using commercial software rather than paper or PDF submissions. Those changes are being phased in over time, with different timescales applying to different sizes and types of company, so it is worth checking the current guidance from Companies House rather than relying on what applied in previous years. Because the detail can change, we are happy to talk through what it means for your FRS 105 Micro Entity Accounts in Chorley when we prepare them.
