FRS 105 Micro Entity Accounts in Buckingham

FRS 105 Micro Entity Accounts in Buckingham are prepared under the financial reporting framework that applies to qualifying companies which choose to apply the micro-entities regime. FRS 105 sets out how those accounts are put together, from the measurements used in the balance sheet through to the limited disclosures that micro-entity financial statements are required to include. Choosing the regime can simplify the accounts and reduce the volume of notes, but it also brings restrictions, such as the unavailability of certain revaluations and fair value treatments. Professional preparation helps ensure the accounts reflect your company’s own transactions and circumstances, that the accounting policies used are appropriate, and that the figures presented are consistent with the underlying records. It also helps keep the accounts, the Companies House filing and your separate Corporation Tax obligations clearly distinguished, so each document and deadline is dealt with in the right place.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: How the Micro-Entities Regime Works

FRS 105 is the UK accounting standard written specifically for micro-entities. It sits within the same family as FRS 102 but takes a far simpler approach: the accounts are prepared on a historical cost basis, with no option to revalue assets or apply fair value adjustments, and the disclosure requirements are kept to a minimum. In practice that means a shorter balance sheet, a simpler profit and loss account and far fewer notes to the accounts. Importantly, FRS 105 is not something a company is handed automatically for being small. It is an option: a company must first qualify for the micro-entities regime and then choose to apply it. If the regime is not chosen, another framework such as FRS 102 will usually be used instead. For directors in Buckingham, the practical appeal of FRS 105 Micro Entity Accounts is a clearer, leaner set of financial statements that still meets the applicable reporting requirements for the period.

Who Can Use FRS 105 in the UK? Qualifying for the Micro-Entities Regime

FRS 105 Micro Entity Accounts are intended for companies that qualify for the UK micro-entities regime and choose to apply it. Eligibility is based on size. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those conditions are the starting point rather than the whole test. Other eligibility rules and exclusions also apply, and meeting the size thresholds alone does not guarantee that a company can, or should, use the regime. Some company types are excluded, and particular circumstances, such as being part of a group, can affect the position. In practice, the sensible approach for directors in Buckingham is to confirm eligibility for the specific period, then decide whether FRS 105 or another framework best suits the company.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts properly starts with your bookkeeping and records. We work from the information you provide, such as sales and purchase records, bank and credit card statements, payroll data, asset purchases and finance agreements, to build a balance sheet and profit and loss account that reflect what actually happened in the period. The accounts are then prepared in line with the recognition, measurement and disclosure requirements that apply when the micro-entities regime is used, and checked for internal consistency before anything is finalised. Once your accounts are complete, we can prepare and submit the Companies House filing on your behalf, and separately handle the Corporation Tax side of things, including the CT600 submitted to HMRC. These are distinct processes with different recipients, and keeping them clearly separated helps avoid any confusion about what has been filed, where and when. Nothing here implies endorsement or approval by Companies House or HMRC, and no outcome can be guaranteed.

FRS 105 is the financial reporting standard published for use by micro-entities in the UK. It is a simplified framework: accounts are prepared on a historical cost basis, revaluations and fair value accounting are not permitted, and the number of disclosures required is much smaller than under a fuller standard. FRS 105 sets out how the balance sheet and profit and loss account should be measured and what notes are needed. It applies when a company qualifies for the micro-entities regime and chooses to use that regime, so the standard and the regime go hand in hand.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees during the period. Meeting those size tests is not the whole story, however. Other eligibility rules and exclusions can apply, so a company that appears to fit the thresholds is not automatically able to use the regime. Eligibility is worth confirming against the rules that apply to your specific company before the accounts are prepared.

No. Qualifying for the micro-entities regime does not force a company to use FRS 105. The regime is optional, and a company that fits the criteria may still choose to prepare its accounts under another framework, most commonly FRS 102. The choice is usually made consistently across periods, because switching frameworks affects how figures are measured and presented, and can complicate comparatives. If you are unsure which route suits your company, it is best to discuss it before the accounts are put together rather than afterwards.

FRS 102 is the fuller UK standard. It offers more accounting options, including certain fair value and revaluation treatments, but it also carries more extensive disclosure requirements. FRS 105 is a stripped-back framework for micro-entities: historical cost only, simpler measurement, and minimal notes to the accounts. The practical result is that FRS 102 produces more detailed financial statements, while FRS 105 produces shorter, more streamlined ones. Neither is inherently better. The right framework depends on whether the company qualifies for the micro-entities regime, and on what the directors and other users of the accounts actually need.

Where a company is required to file annual accounts, those accounts are delivered to Companies House, and micro-entity accounts prepared under FRS 105 can be filed using the simplified format available for micro-entities. The filing obligation exists independently of which framework is used, so FRS 105 affects how the accounts are prepared rather than whether they must be filed. It is also worth remembering that the accounts filed at Companies House and the accounts prepared for the company's members can differ in the level of detail included, and that Companies House filing guidance and routes do change from time to time.

Yes, they are separate. FRS 105 Micro Entity Accounts are financial statements prepared under the micro-entities regime, while the CT600 is the Corporation Tax Return submitted to HMRC. They draw on similar underlying figures, but they are different documents going to different places: the accounts to Companies House and to the company's members, and the CT600 to HMRC, with tax adjustments made where tax rules differ from the accounting treatment. Preparing the accounts does not automatically take care of the tax return, so both should be diarised and handled as distinct pieces of work.

A newly incorporated company is not automatically a micro-entity, and using FRS 105 is a choice rather than a default. A new company can apply the regime if it meets the qualifying conditions and its directors decide to do so. First-period accounts sometimes need extra care, because the accounting period can be longer or shorter than twelve months and there may be pre-trading costs and share capital to account for. If your company has recently started trading in or around Buckingham, it is worth checking eligibility early so that your bookkeeping and records are set up in a way that supports the accounts you intend to prepare.

Typically we would ask for bank and credit card statements covering the whole period, sales and purchase records or access to your accounting software, payroll information, details of any assets bought or sold, loan and finance agreements, and stock or work-in-progress figures where these are relevant. Movements on directors' loan accounts and any dividends paid are also helpful. If a previous set of accounts exists, sending that across makes life easier. The more complete and up-to-date the records, the smoother preparation tends to be, and any gaps can usually be resolved with a quick conversation.
