FRS 105 Micro Entity Accounts in Blackbrook

FRS 105 provides the financial reporting framework that applies when a qualifying company chooses to use the UK micro-entities regime. Our FRS 105 Micro Entity Accounts service in Blackbrook is built around that framework: we prepare accounts that reflect your company’s own financial records, present them in the simplified format the micro-entities regime allows, and explain clearly what the figures mean before anything is finalised. Eligibility is not automatic, so we start by looking at your company’s circumstances — its size, its structure and the rules and exclusions that apply — rather than assuming the regime is the right fit. If FRS 105 is suitable, we prepare the accounts in that format; if it is not, we will tell you and discuss the alternatives. Either way, you get professionally prepared figures, a straightforward explanation of the basis of preparation, and a clear view of what needs to happen next for your Companies House filing.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime Made Simple

FRS 105 is the UK financial reporting standard written specifically for micro-entities, and it sits alongside the micro-entities regime rather than replacing it. In practice, the two work together: a company must first qualify for the regime, and if the directors then choose to apply it, FRS 105 is the standard used to prepare the financial statements. Because FRS 105 is deliberately streamlined, the accounts are simpler than those produced under larger-company standards — fewer notes, a more straightforward approach to measuring assets and liabilities, and a format designed to be readable for a small owner-managed business. What you see is largely what you get: a balance sheet, the required notes, and a clear picture of your company’s position at the year end. For directors in Blackbrook running a small limited company, the appeal is practicality. You still need accurate records and you still need to file accounts, but FRS 105 reduces the volume of disclosure and complexity involved. The trade-off is that the standard is prescriptive in certain areas, so the accounts must genuinely fit your circumstances — which is exactly why eligibility and the choice of regime should be reviewed before preparation begins.

Who Can Use FRS 105 in the UK?

FRS 105 is intended for companies that qualify for the UK micro-entities regime and that choose to apply it. Qualification turns on size, but size alone is not the whole story. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those conditions sit within a wider framework that includes exclusions and additional rules — certain company types cannot use the regime, and group situations can affect the position — so meeting the size thresholds does not by itself guarantee eligibility. It is also worth noting that thresholds change over time, meaning earlier accounting periods are assessed against the limits that applied to them. If your company is based in Blackbrook and you are unsure where you stand, the practical approach is a short review of your figures, your structure and your reporting needs, followed by a clear recommendation on whether the micro-entities regime and FRS 105 are the right fit.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Professionally Prepared FRS 105 Micro Entity Accounts with Accurate Financial Reporting

Accounts prepared under FRS 105 still have to be accurate, internally consistent and properly supported by your records. We work from the information you provide — bookkeeping, bank records, sales and purchase data, asset details and the previous year’s accounts — and use it to build a set of FRS 105 financial statements that reflects your company’s trading and position at the period end. The aim is straightforward: figures you can rely on, disclosures that match the micro-entity regime, and a basis of preparation that is explained to you in plain English. It is worth being clear about how the different obligations fit together. Preparing FRS 105 Micro Entity Accounts is an accounting and financial reporting exercise, and filing those accounts with Companies House is a separate step. A Corporation Tax Return (CT600) is separate again — it is submitted to HMRC, not Companies House, and it is driven by your taxable profits rather than by the accounts format. Confirmation Statements, VAT returns and PAYE obligations are separate filings too. We can help you understand which items are which, so nothing is overlooked because it was assumed to sit under the accounts.

FRS 105 is the UK financial reporting standard for micro-entities. It sets out how qualifying companies that choose to apply the micro-entities regime should prepare their financial statements — what to include, how to measure items, and which disclosures are required. It is a simplified, largely historical-cost based standard, which is why micro-entity accounts look shorter and more straightforward than accounts prepared under standards aimed at larger companies. FRS 105 is the reporting framework; the micro-entities regime is the legal regime that permits its use.

FRS 105 is available to companies that qualify as micro-entities and that choose to apply the micro-entities regime. Qualification depends on the size conditions plus other eligibility rules — certain company types and circumstances are excluded, and there can be additional considerations where a company is part of a group. Meeting the size tests on their own does not automatically mean a company is eligible, and eligibility should be considered alongside whether the regime is actually beneficial, since FRS 105 does not permit some of the accounting treatments that other standards allow.

No. Qualifying for the micro-entities regime does not mean you must use it. It is an available regime, and applying it is a choice made by the company. If a company qualifies but the directors prefer a different basis — for example because of a group relationship, a lender's preference, or the way certain transactions need to be presented — another standard can be used instead. This is why preparation usually starts with a review of the company's circumstances and the directors' intentions rather than with a template.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. These conditions sit within a wider set of rules, and exclusions can apply regardless of size. It is also important to check the position for earlier periods, since different limits applied then. Because the tests are applied to your own figures and circumstances, it is worth confirming the position for your company rather than relying on general figures.

Both are UK financial reporting standards, but they are aimed at different sizes of company. FRS 105 applies to qualifying micro-entities and is the most simplified option, with reduced disclosure and a narrower set of permitted accounting treatments. FRS 102 is the standard for larger entities and, in its small-entity form, is used by many small companies that do not use — or cannot use — the micro-entities regime. In broad terms, FRS 102 gives greater flexibility in some areas but comes with more disclosure and more complexity, while FRS 105 trades that flexibility for simplicity.

Companies that prepare accounts under FRS 105 will normally need to file accounts with Companies House for each financial year, unless a specific exemption applies to that company. Micro-entity accounts can be filed in the simplified format the regime allows, but the filing itself is a legal obligation that runs separately from the preparation work. Filing with Companies House does not mean the accounts have been checked, approved or endorsed by Companies House — responsibility for their content rests with the directors.

Yes, they are two distinct things. FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime and filed at Companies House. A CT600 is a Corporation Tax Return submitted to HMRC, and it is based on your taxable profits after tax adjustments — not on the accounts format. The two are connected because the accounts usually provide the starting point for the tax computation, but they are prepared for different purposes and sent to different bodies, with different requirements and timescales.

In most cases we need your bookkeeping or accounting records for the period, bank and credit card statements, details of sales and purchases, payroll information if you employ staff, a list of assets with purchase dates and costs, any loan or finance agreements, and the previous year's accounts if there are any. Supporting documents such as invoices and receipts help confirm the figures. If your records are incomplete, tell us — it is far better to flag gaps at the start than to discover them partway through preparation, as missing information is the most common reason accounts take longer than expected.
