FRS 105 Micro Entity Accounts in Birstall

FRS 105 Micro Entity Accounts are the annual financial statements prepared under the UK micro-entities regime — a simplified reporting framework available to companies that meet the qualifying conditions and choose to apply it. If your company is based in Birstall and you are deciding how best to prepare and file your yearly accounts, understanding what FRS 105 involves is a sensible first step. The framework is designed to reduce the reporting burden on genuinely small companies, with a shorter balance sheet, limited notes and simpler measurement rules than the standards used by larger businesses. Professional preparation helps ensure your accounts reflect your actual transactions and records, are put together consistently with the framework your company has chosen, and line up with the information you report elsewhere. Eligibility is not automatic, so your company’s size, structure and any applicable exclusions should be reviewed before a framework is recommended.

I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── FRS 105 EXPLAINED

FRS 105 Explained: The Micro-Entities Regime in Plain English

FRS 105 is the financial reporting standard that applies when a qualifying UK company chooses to use the micro-entities regime. In simple terms, it sets out how your annual accounts should be put together: what appears on the balance sheet, what appears in the profit and loss account, and which notes are required. Compared with the standards used by larger companies, FRS 105 is deliberately lean — fewer disclosures, simpler measurement rules and a format that is easier for a director to read and understand. It is worth being clear that the micro-entities regime is a choice rather than an obligation. A company that qualifies may still decide to report under another framework, such as FRS 102 Section 1A. FRS 105 applies when the micro-entities regime is the framework your company uses. Because the rules interact with company law and with tax reporting, it is worth taking advice before you commit to an approach.

Who Can Use FRS 105 in the UK? Eligibility for Birstall Companies

FRS 105 is intended for companies that qualify for the UK micro-entities regime and choose to apply it. For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of 3 applicable size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Those figures are a starting point rather than the whole answer, because additional rules and exclusions can apply. Some companies are excluded from the micro-entities regime whatever their size, and eligibility is assessed on a continuing basis, so a company that qualifies this year is not guaranteed to qualify next year. Meeting the size thresholds alone does not automatically make a company eligible, and an eligible company is never obliged to use the regime — it is a choice, and FRS 105 applies only when that choice is made.

A company generally needs to meet at least 2 of these 3 conditions.

─── What We Review

Everything Your Micro-Entity Company Is Required to Get Right

Most compliance problems are not deliberate. They come from a missed deadline, an accounts template that no longer matches FRS 105, or dividends taken without the paperwork to support them. Our review covers each area in turn and reports back in plain English.

FRS 105 Balance Sheet

A statutory balance sheet prepared to the FRS 105 format, using the reduced disclosure the micro-entities regime allows.

Profit & Loss Account

A profit and loss account prepared for your own records and for your Corporation Tax computation, without public filing.

Required Notes & Disclosures

Preparation of the notes and disclosures required for the company's accounts under the applicable reporting requirements.

Corporation Tax Support

Separate Corporation Tax support can be provided where included in the agreed service. The Corporation Tax calculation is governed by tax rules rather than FRS 105.

Companies House Filing

Your FRS 105 accounts filed with Companies House in the correct format, before your accounts filing deadline.

Director Copy Pack

A full signed copy of your accounts and tax return, ready for your bank, mortgage lender or accountant records.

Professionally Prepared FRS 105 Accounts and Accurate Financial Reporting

Preparing FRS 105 Micro Entity Accounts is not simply a matter of repeating last year’s figures. We work from your company’s financial records — bank statements, sales and purchase information, payroll details, expense records and details of any assets, stock or loans — to build a set of financial statements that reflects the position of the business. The accounts are then prepared in line with the reporting framework your company has chosen and the requirements that apply to it. It is important to keep the different obligations separate: preparing financial statements and filing them with Companies House is one exercise, while any Corporation Tax liability is dealt with through a separate Corporation Tax Return (CT600) submitted to HMRC. We can help with both, but they are distinct pieces of work with their own rules and their own deadlines. No authority reviews or approves accounts on our behalf, and responsibility for the figures ultimately rests with the directors.

FRS 105 is the UK financial reporting standard written specifically for micro-entities. It sets out the form, content and measurement rules for the annual financial statements a qualifying company prepares when it chooses to apply the micro-entities regime. In practice that means a simplified balance sheet, a simplified profit and loss account and a much shorter set of notes than you would see under other standards. FRS 105 sits alongside other UK reporting frameworks such as FRS 102 and FRS 101, each of which suits a different type of company.

FRS 105 is intended for companies that qualify for the UK micro-entities regime and then choose to apply it. Qualifying is a two-part test: the company needs to be small enough under the applicable size conditions, and it must not fall within any of the categories that are excluded from the regime. Meeting the size conditions does not by itself guarantee eligibility, and even a company that is eligible is not forced to use FRS 105. We look at your company's specific circumstances before recommending a framework.

No. The micro-entities regime is an available accounting regime, not a mandatory one. A company that qualifies may instead choose to prepare its accounts under another framework, most commonly FRS 102 Section 1A, which is designed for small companies. The choice affects the level of disclosure and the measurement options available, so it is worth thinking about what your readers — lenders, investors or other stakeholders — may expect before deciding. Once a framework is chosen, the accounts should be prepared consistently with it.

For accounting periods beginning on or after 6 April 2025, a company generally needs to meet at least 2 of the following 3 size conditions: turnover of no more than £1 million, a balance sheet total of no more than £500,000, and an average of no more than 10 employees. Different limits applied to earlier periods. The size tests are only part of the picture, because the rules also exclude certain types of company from the regime regardless of size, and eligibility is assessed on an ongoing basis rather than once and for all. It is always worth checking your position for the specific period you are reporting on.

FRS 102 is the wider UK standard for companies that are not micro-entities, and Section 1A of FRS 102 is the usual route for small companies. FRS 105 is more stripped back: fewer disclosures, simpler measurement rules, no fair value accounting or revaluation of assets, and a shorter, more prescriptive format for the financial statements. FRS 102 gives more flexibility and requires more information to be disclosed. Neither is automatically better — the right one depends on your company's size, structure and what you need the accounts to do.

Yes, where the company is required to file annual accounts, FRS 105 Micro Entity Accounts still need to be delivered to Companies House within the statutory filing deadline for the period. Micro-entity accounts can be filed in a simplified format, which is one of the practical attractions of the regime. Filing accounts at Companies House is a separate exercise from anything submitted to HMRC, and the two should not be confused. If you are unsure whether a particular filing exemption applies to your company, that is worth checking before you rely on it.

Yes, they are two different filings with two different audiences. FRS 105 Micro Entity Accounts are the financial statements prepared under the micro-entities regime and delivered to Companies House. A Corporation Tax Return, known as a CT600, is submitted separately to HMRC to report the company's taxable profits for the period. The starting point for the CT600 is usually the profit shown in the accounts, but tax adjustments — for example the treatment of depreciation compared with capital allowances — mean the taxable figure can differ from the accounting profit.

We generally need your company's bank statements and reconciliations for the period, records of sales and purchases, payroll information if you employ staff, details of any equipment, vehicles or other assets bought or sold, information about loans and finance agreements, and any stock or work-in-progress figures where relevant. Your previous year's accounts and abbreviated or full filings are also useful for comparison. The clearer and more complete your records, the more straightforward the preparation process tends to be, and any gaps can usually be worked through together.
