What Are First Year Accounts for a Micro Company?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional and they are not something that can be set aside because the company is new. From the moment a company is incorporated, it has a reporting obligation, and that first accounting period normally runs from the incorporation date to the company’s first accounting reference date — although Companies House rules mean the first period can be treated slightly differently from later ones. The exact dates depend on the incorporation date and the accounting reference date recorded at Companies House, so they are worth checking rather than assuming. The accounts themselves typically include a balance sheet, and a profit and loss account where applicable, alongside notes and the directors’ responsibilities that support them. Once complete, first year statutory accounts are generally filed with Companies House where required. Some companies use the micro-entity framework, which is a simplified reporting option available to entities that meet the relevant eligibility criteria for the accounting period, with FRS 105 being the standard that applies to qualifying micro-entities. Eligibility is not automatic — a company with low activity does not necessarily qualify, and a newly incorporated company is not automatically a micro-entity. It is worth keeping three obligations clearly separate. Statutory accounts go to Companies House. A Corporation Tax Return, such as a CT600, goes to HMRC and is a different filing with a different destination, even where the same accounting information feeds into both. There is no single answer that applies to every company. The due date depends on the incorporation date, the accounting reference date and the applicable Companies House requirements, and a company's first accounting period can be treated differently from its later ones. Rather than relying on a rule of thumb, it is safer to confirm the specific deadline that applies to your company and work back from there.

It usually starts with the company's accounting records: bank transactions, sales and income records, business expenses and purchase invoices, any asset purchases, director transactions, share capital details and any loans or finance arrangements. Payroll records may be relevant where the company has run a payroll, and VAT records where the company is registered. Not every company will have all of these, and the list is shaped by what the business has actually done during the period.
