What Are First Year Accounts for a Limited Company, and When Might Micro-Entity Reporting Apply?

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date the company was incorporated and runs to its first accounting reference date. Companies House sets that first accounting reference date from the incorporation date, and it is that date — together with the applicable filing rules — that determines what period the accounts cover and when they are generally due to be delivered. Because incorporation dates differ from company to company, first accounting periods differ too, so there is no single answer that fits every new company in Woodmansterne. These accounts are not optional, and they do not disappear simply because a company has been quiet. A newly incorporated company may still have statutory accounts obligations even where activity has been limited or trading has not yet commenced. The due date depends on the company's incorporation date and its accounting reference date, so it varies from one company to another. Companies House generally allows a longer period for a first set of accounts than for later years, but the exact date is specific to your company. We check the position for your company and confirm the relevant filing date rather than applying a general assumption, and we would always recommend working to that date well in advance.

Usually the company's accounting records for the period: bank statements and transaction listings, sales and income records, purchase invoices, expense receipts, details of any assets bought, share capital information, director transactions and any loans or finance arrangements. Where the company runs payroll or is VAT registered, the related records are also relevant. If your company was quiet during the period, we still look at what records exist so the accounts reflect the actual position.

Statutory accounts filing obligations can still apply where a company has been incorporated but has had limited activity or has not yet begun trading. Whether the company should be treated as dormant for Companies House purposes depends on its specific circumstances and the applicable rules, so it is not something to assume either way. Filing the accounts, where required, is also separate from any Corporation Tax reporting position the company may have with HMRC.

No. Statutory accounts are delivered to Companies House where required, while a Company Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. The two serve different purposes and go to different bodies, and filing one does not complete the other. It is also possible for the company's first Corporation Tax accounting period to differ from its statutory accounts period, which is why the dates are worth checking carefully.

Some new companies may qualify for the micro-entity reporting framework, but it is not automatic and low turnover on its own does not guarantee eligibility. Qualification depends on meeting the applicable conditions for the accounting period in question. Where a company does qualify, FRS 105 is the standard applying to entities using the micro-entity framework. We review the position for the specific period rather than assuming a framework applies.

No. The confirmation statement is a separate filing that confirms the company's information held at Companies House, such as directors, registered office and share capital, is up to date. Filing first-year accounts does not satisfy that requirement, and filing a confirmation statement does not satisfy the accounts requirement. A newly incorporated company may need to deal with both during its first year of operation.

If required accounts are not delivered by the applicable deadline, Companies House can apply late filing consequences, which may include a penalty. The level of any penalty depends on how late the accounts are and on the company's circumstances, and paying a penalty does not remove the need to file the outstanding accounts.
