What Are First Year Accounts for a Micro Company and What Does the First Accounting Period Cover?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company has only recently been incorporated. When a company is formed, Companies House sets an accounting reference date, generally the last day of the month in which the first anniversary of incorporation falls, and the first accounting period usually runs from the incorporation date to that date, subject to any change made under the applicable rules. The accounts then summarise the company’s financial position for that period, typically through a balance sheet and a profit and loss account where applicable, along with the notes and disclosures required by the reporting framework the company uses. Some newly incorporated companies may qualify for the micro-entity framework, and therefore FRS 105, if they meet the eligibility conditions for the relevant accounting period. Qualification depends on the company’s size and circumstances, so it is worth checking rather than assuming. A company that does not meet the micro-entity criteria may instead fall within the small company regime, and the correct basis should be confirmed before the accounts are drafted because it affects what is included and how the figures are presented. Filing with Companies House is a separate step from the accountancy work. Where statutory accounts are required to be filed, they are delivered to Companies House, which places them on the public register. Companies House does not prepare the accounts, does not assess whether an accountant prepared them, and does not approve them — it receives and registers the filing. Directors remain responsible for ensuring the accounts are prepared and delivered correctly and on time, even when professional support is used. It also helps to keep three other obligations clearly separate. A Corporation Tax Return, such as a CT600, is submitted to HMRC and deals with the company’s tax position rather than with Companies House. VAT returns, where a company is registered, follow their own cycle. Submitting first-year accounts does not automatically complete any of these other duties, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. Late delivery of accounts to Companies House can lead to filing consequences, and the outcome depends on how late the accounts are and the rules in force at the time. Paying any penalty does not remove the requirement to file the outstanding accounts.
