First Year Accounts for Limited Company in Whitehaven, Prepared and Filed the Right Way

The first set of statutory accounts a limited company produces shapes how its reporting runs from that point onwards, so it is worth getting the groundwork right. Micro Entity Accounts supports newly incorporated and newly trading limited companies in Whitehaven with First Year Accounts for Limited Company — reviewing the accounting records you hold, preparing the statutory accounts, and helping with delivery to Companies House where required. Where the company also has Corporation Tax obligations, we can assist with the separate CT600 submission to HMRC, which is a different filing with a different destination and its own requirements.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for Whitehaven Limited Companies

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company was incorporated recently. Once a company is registered, it has an accounting reference date, and that date determines when its first financial period ends. The first period may run from the incorporation date to that reference date and can be shorter or longer than the twelve months directors tend to expect, so the period should always be checked against the company’s own incorporation details rather than assumed. The accounts are built from the company’s accounting records — bank transactions, sales and income records, purchase invoices and receipts, asset purchases, director transactions, share capital details, and any loans or finance arrangements. They normally include a balance sheet and, depending on the reporting framework used, a profit and loss account and supporting notes. Directors remain responsible for ensuring the company keeps adequate records and meets its filing obligations, even when an accountant prepares the accounts on its behalf. Some companies qualify to report under the micro-entity framework, which uses the financial reporting standard FRS 105. Eligibility is not automatic: a company must meet the applicable criteria for the relevant accounting period, and a newly incorporated company is not automatically a micro-entity. In many cases the framework is reviewed as part of preparing the accounts, and the position for the following year may be different again. The same applies to the small-company regime, which has its own thresholds. It also helps to keep the separate obligations apart. First-year statutory accounts are delivered to Companies House where required. A Corporation Tax Return, such as a CT600, is submitted separately to HMRC, and a limited company can have a Corporation Tax accounting period that does not match its statutory accounts period. A confirmation statement is another separate filing used to keep the public register up to date. Completing one of these does not complete the others, and for directors in Whitehaven approaching their first filing date, understanding that split early avoids a good deal of confusion later.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of annual statutory accounts prepared by a company for its initial accounting period, covering the period from incorporation (or from when it began trading, depending on the circumstances) up to its accounting reference date. They typically include a balance sheet and, where the applicable reporting framework requires it, a profit and loss account and notes. They are prepared from the company's accounting records and are delivered to Companies House where required.

The filing date depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it is not the same for every company. A common misunderstanding is that the first accounts are always due twelve months after the period ends — that is not necessarily the case for a first period. The safest approach is to check the company's own records and confirmation from Companies House, and to work back from that date when planning the preparation of the accounts.

Usually the accounting records for the period: bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets bought or sold, director loans or transactions, share capital information, and any finance or loan agreements. Payroll records may also be relevant where the company has employees, and VAT records where it is VAT registered. Not every company will have all of these, and the list is tailored to what the business has actually done during the period.

Yes, in most cases an incorporated company must prepare and file statutory accounts with Companies House for each financial year, including its first. Filing first-year accounts does not replace a confirmation statement, which is a separate filing that keeps the public register up to date, and it does not submit anything to HMRC on the company's behalf. Companies House receives and registers the accounts; it does not prepare them, and it does not approve them professionally.

It depends on the company's circumstances and the applicable rules. A company with limited activity, or one that has not yet commenced trading, may still have statutory filing obligations, and the reporting position needs to be considered rather than assumed. Being dormant for Companies House purposes is a specific status with its own conditions, so it should not be treated as automatic simply because there has been little or no activity. Where the company has had no significant accounting transactions, it is worth confirming the correct treatment before filing anything.

No. First-year accounts are statutory accounts delivered to Companies House where required, while a CT600 is a Corporation Tax Return submitted separately to HMRC where applicable. The figures from the accounts are often used when preparing the company's Corporation Tax position, but the two filings serve different purposes, go to different bodies and have separate deadlines. Filing the accounts does not automatically submit a CT600, and submitting a CT600 does not complete the Companies House accounts filing.

Some newly incorporated companies do qualify to report under the micro-entity framework and FRS 105, but eligibility is not automatic. It depends on the company meeting the applicable criteria for the relevant accounting period. A company with low turnover does not automatically qualify, and neither does every startup, so the framework should be assessed on the actual figures and circumstances rather than assumed at incorporation.

Failing to deliver required accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties. The outcome is not identical in every case, and paying a penalty does not remove the requirement to file the outstanding accounts. If accounts have been filed late or are overdue, the position depends on the circumstances and the applicable rules, and it is worth taking advice before assuming an appeal would be appropriate or successful.
