What Are First Year Accounts for a Micro Company, and Does Your New Limited Company Qualify?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, its directors become responsible for keeping adequate accounting records, preparing annual accounts for each financial year and delivering those accounts to Companies House where required. The first accounting period normally runs from the date of incorporation to the company’s first accounting reference date, which Companies House sets automatically, and it can be longer than twelve months. Because of that, a company’s first accounts can look different from the annual accounts it files in later years, and the period they cover is not necessarily the same as the company’s first Corporation Tax accounting period. Typical first year accounts include a balance sheet, notes to the accounts and, where applicable, a profit and loss account, prepared under an appropriate accounting framework. Separately, a company may also need to submit a Corporation Tax Return such as a CT600 to HMRC, and may need to file a confirmation statement — these are distinct obligations with different purposes and different destinations. Filing accounts with Companies House does not complete a CT600, and submitting a CT600 does not complete the accounts filing. Some companies may qualify for the micro-entity framework, and where they do, FRS 105 is the reporting standard that applies to qualifying entities using that framework. Eligibility is not automatic: it depends on meeting the applicable conditions for the relevant accounting period, and a newly incorporated company with modest activity does not necessarily qualify by default. The same applies to the small company regime. In most cases, yes. A limited company is generally required to prepare and file annual accounts, and that obligation begins with its first financial year rather than being deferred until the company has been running for a while. This remains true where activity has been limited or where the company has not yet started trading, so it is worth checking your position rather than assuming nothing is due. Whether the company is properly dormant, and what that means for its filings, depends on its individual circumstances and the applicable rules.

The deadline depends on your company's incorporation date and its accounting reference date, so it is not the same for every company. First accounts are usually given longer than accounts for later years, partly because the first accounting period can run for more than twelve months. You can check your company's accounting reference date and filing dates on the Companies House register, and we can help you confirm what applies to your company's first period before the deadline becomes a problem.

It depends on what your company has actually done. In practice we usually need bank statements and transaction listings, sales or income records, purchase invoices and expense receipts, details of any assets bought, director loan transactions, share capital information, and any loans or finance arrangements. If the company runs payroll or is VAT registered, the relevant payroll or VAT records are useful too. Not every company will have all of these, and we will tell you what is relevant once we understand how the company has operated.

No. The statutory accounts go to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They serve different purposes and are filed in different places, and completing one does not complete the other. The figures in your accounts are often used as a starting point when working out your Corporation Tax position, but the company's Corporation Tax accounting period and its statutory accounts period may not be identical, so the two need to be looked at carefully.

No, they are separate filings. The confirmation statement confirms that the information Companies House holds about your company — such as directors, shareholders, share capital and registered office — is correct, and it may need to be submitted even in a year where limited trading has taken place. Filing your first year accounts does not remove the need to keep your Companies House record up to date, and it does not cover Corporation Tax, VAT or payroll obligations either.

It may do, but not automatically. Micro-entity status depends on meeting the eligibility conditions for the accounting period in question, and a company that is newly incorporated does not qualify simply because it is small or has only recently started trading.
