What Are First Year Accounts for a Micro Company and How Do They Apply to New Limited Companies in Westfield?

First-year accounts are the first set of annual statutory accounts a limited company prepares for its opening accounting period. That period generally starts on the date of incorporation and ends on the company’s first accounting reference date, which is set when the company is registered. Because incorporation dates and accounting reference dates differ from one company to the next, the length and shape of that opening period is rarely identical — some first periods run longer than twelve months, others shorter. That is why the filing date for a first set of accounts should be confirmed from the company’s own records rather than assumed from a general rule of thumb. The accounts themselves are a formal summary of the company’s financial position at the end of that period, together with its results for the period. A balance sheet is always included, and a profit and loss account is included where the company’s reporting framework requires it and where the company has traded. A Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations, and the first Corporation Tax accounting period does not always match the statutory accounts period. A confirmation statement is a further, separate filing with Companies House and is not replaced by submitting accounts. They are the first set of annual statutory accounts your company prepares covering its opening accounting period. That period normally starts on the date the company was incorporated and ends on the company's first accounting reference date, which is assigned at registration. The accounts present the company's financial position at the end of the period and its results for it, and they are delivered to Companies House where the company is required to file.

In most cases, yes — filing statutory accounts is a legal obligation for a limited company, even if trading has not yet begun. Companies House receives the accounts and places them on the public register; it does not prepare them, check how they were prepared professionally or approve them. Directors remain responsible for making sure the filing is made and that the information is correct, even when an accountant has handled the preparation.

It is calculated from your company's accounting reference date, which is set by reference to the incorporation date. Companies House generally allows a company longer to file its first accounts than it allows for later years, but the exact date depends on your own incorporation details, so it is always worth confirming it from Companies House records rather than estimating. We can check the position for your company as part of preparing the accounts.

It depends on what the company has actually done during the period. Typically we ask for bank statements and transactions, sales or income records, purchase invoices and business expenses, details of any assets bought, share capital information and any director transactions such as loans or expenses paid personally. If the company runs payroll or is VAT registered, the relevant records help too. Where a record does not exist because the company has had little activity, we can discuss how to proceed on that basis.

The obligation to prepare and file statutory accounts is not removed simply because trading has not commenced. What the accounts look like will depend on whether there have been any transactions at all, and a company with no significant accounting transactions may have a different reporting position rather than being automatically treated as dormant. That position should be considered against the applicable rules and your company's circumstances before anything is filed.

No — they are separate filings with separate destinations. Statutory accounts go to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where the company has Corporation Tax obligations. Figures from the accounts often feed into the Corporation Tax position, but filing one does not file the other, and the first Corporation Tax accounting period does not always line up exactly with the statutory accounts period.

Some companies qualify for the micro-entity reporting framework under FRS 105 if they meet the applicable eligibility conditions for the accounting period in question. It is not automatic, and a newly incorporated company is not treated as a micro-entity by default. The right framework depends on the company's size, activity and circumstances, and we will confirm which applies before preparing the accounts.

Missing the applicable filing date can lead to Companies House consequences, and where the rules provide for a late filing penalty, the amount depends on how late the accounts are and the company's circumstances. Paying any penalty does not remove the requirement to file the outstanding accounts.
