First Year Accounts for Limited Company in West Derby — Prepared, Checked and Filed

A newly incorporated company still has statutory accounts obligations, even if trading has been limited or has not yet started. Micro Entity Accounts provides professional support with First Year Accounts for Limited Company in West Derby, working from the accounting records your company holds to prepare a set of statutory accounts and, where required, help deliver them to Companies House. We will talk you through how your first accounting period and accounting reference date affect what has to be reported, what belongs on the balance sheet, whether a profit and loss account is needed, and which reporting framework applies to your company based on its eligibility for the relevant period. Where Corporation Tax is relevant, we will also make clear that a CT600 is submitted separately to HMRC and is not the same thing as filing accounts at Companies House.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts and How Do They Work for a Newly Incorporated Company in West Derby?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation, although if the company was incorporated and then began trading later, the way its accounting periods fall may differ. The company’s accounting reference date is generally set by reference to the anniversary of incorporation, and it is that date that anchors the first set of statutory accounts and the filing position that follows. Because a company’s incorporation date, accounting reference date and circumstances all influence what is required, the first year is not always a straight copy of later years. Directors of newly incorporated companies in West Derby often ask whether accounts are needed at all when the company has been quiet. The obligation to prepare accounts and to file them with Companies House where required does not disappear simply because activity has been low. Where a company has had no significant accounting transactions, its reporting position depends on its own circumstances and the applicable rules rather than being automatically treated as dormant. First year accounts are also distinct from two other common filings. A Corporation Tax Return, such as a CT600, is submitted to HMRC where applicable, and the company’s first Corporation Tax accounting period and its statutory accounts period may not necessarily be identical. A confirmation statement is a separate Companies House filing that confirms the company’s registered details remain correct. Filing accounts does not replace either of those obligations, and neither of them replaces the accounts. Some companies may qualify for the micro-entity framework and report under FRS 105, the financial reporting standard applicable to qualifying entities using that framework, but eligibility has to be assessed for the relevant accounting period. Micro-entity or small-company status is not automatic for a new company, and the correct framework depends on the company’s eligibility and circumstances.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

The first set of accounts sets the tone for every year that follows, and it is the point where many directors realise their records are not quite in the shape they assumed. Micro Entity Accounts can help you make sense of what is needed: reviewing the figures you hold, preparing the statutory accounts for your initial accounting period, and supporting you with the Companies House filing where it applies. If you are unsure whether your company falls within the micro-entity or small-company framework, or how your accounting reference date shapes the period being reported on, that uncertainty is worth resolving before the accounts are finalised rather than afterwards. They are the first set of annual statutory accounts your company prepares for its initial accounting period, which generally starts on the date of incorporation. They set out the company's financial position at the end of that period — typically through a balance sheet, plus a profit and loss account and notes where the applicable framework requires them — and are delivered to Companies House where required.

The deadline depends on your company's incorporation date, its accounting reference date and the Companies House rules that apply to a first accounting period. Because the first period is usually longer than twelve months, the filing date for first accounts is often different from later years. Rather than assume a date, check the filing deadline recorded against your company on the Companies House register and plan around that.

It depends on what the company has actually done. In most cases we would expect bank transactions and statements, sales or income records, purchase invoices and business expenses, details of any assets bought, share capital information, director transactions and any loans or finance arrangements. Payroll and VAT records are relevant where the company operates those. If some records are missing, tell us early — it is usually easier to reconstruct the position before the accounts are drafted than after.

No. They serve different purposes and go to different places. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where it applies to the company. Although figures from the accounts often feed into the tax computation, filing the accounts does not submit a CT600, and submitting a CT600 does not complete the Companies House filing. A company's first Corporation Tax accounting period can also differ from its statutory accounts period.

Often yes, but the exact position depends on the company's circumstances and the applicable rules. A company that has been incorporated but has had no significant accounting transactions is not automatically dormant, and dormancy is a specific position rather than a description of a quiet year. If your company has been inactive, it is worth reviewing whether accounts are still required and whether any other filings, such as a confirmation statement, remain outstanding.

Some companies can, but not all, and it is not decided simply by having a low turnover or being newly incorporated. Micro-entity and small-company status depend on meeting the eligibility requirements for the relevant accounting period. FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity framework. We assess this against your company's own position before deciding how the accounts should be prepared.

No. They are separate filings with separate purposes. The confirmation statement confirms that the company's registered information — such as directors, registered office and share capital — is up to date, and it has its own submission cycle. Filing your first statutory accounts does not discharge that obligation, and a director in West Derby should keep track of both.

Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, which may include late filing penalties. The outcome is not identical in every case, and paying any penalty does not remove the requirement to file the outstanding accounts. If accounts are already overdue, the priority is to get them prepared and submitted, and to consider whether an appeal is appropriate in the circumstances — eligibility for that depends on the applicable rules.
