What Are First Year Accounts for a Micro Company? A Guide for Limited Companies in Walton-on-Thames

They are the first set of annual statutory accounts a company prepares after incorporation, covering its initial accounting period. In substance they are the same type of document as later annual accounts — typically a balance sheet, and where applicable a profit and loss account, plus any required notes — but the period they cover is determined by the company's first accounting reference date rather than a standard twelve-month cycle.

There is no single date that applies to every new company. The due date is worked out from the company's incorporation date and its accounting reference date, and it can be affected if the accounting reference date is changed or if the first period is longer or shorter than usual. Before starting work we check the dates recorded for your company and explain which deadline applies, so you are working from your own filing position rather than a general assumption.

In most cases we would look for bank statements and transaction listings covering the period, sales and income records, purchase invoices and expense receipts, details of any assets purchased, share capital information, director's loan movements, and any loans or finance agreements. Where the company runs payroll or is VAT registered, those records are useful too. Not every company will have all of these, and we confirm what is relevant based on how the business has actually operated.

Filing obligations can still apply where a company has had limited or no activity, so inactivity does not automatically mean nothing needs to be done. Whether the company is treated as dormant for a particular period depends on its circumstances and the applicable rules, and a company is not considered dormant simply because it has not yet made a sale. No, and it is worth keeping the two clearly apart. First year accounts are statutory accounts delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. The accounting figures often feed into the tax return, but submitting one does not submit the other — the recipients, the rules and the timing are all separate.

Some newly incorporated companies do qualify, but it is not automatic and it is not determined by being new or by having a small amount of activity. Micro-entity eligibility depends on meeting the applicable criteria for the relevant accounting period, and FRS 105 is the standard used by qualifying entities within that framework. Small company reporting may also be available. We assess which framework suits your company before any accounts are prepared.

They do not. A confirmation statement is a separate filing that updates Companies House on the company's registered details, such as directors, shareholders and registered office, and it generally needs to be submitted each year. Delivering statutory accounts does not satisfy the confirmation statement requirement, and filing a confirmation statement does not satisfy the accounts requirement — directors in Walton-on-Thames need to keep track of both.
