What Are First Year Accounts for a Micro Company and How Do They Differ From Other Filings?

First year accounts are the first set of statutory annual accounts a limited company prepares for its opening accounting period, covering the stretch of time from the date of incorporation through to the company’s first accounting reference date. They are not optional simply because the company is young. A company is generally expected to prepare accounts for its accounting periods once it is incorporated and trading through a limited company structure, and those accounts are delivered to Companies House where required. Directors are responsible for making sure the accounts are prepared, approved and filed, even where an accountant has been engaged to do the groundwork. The first accounting period is set by reference to the accounting reference date that Companies House assigns when the company is registered, so it does not run for exactly the same length in every case. In some circumstances the first period is longer than a typical twelve-month year, and where that happens it can affect how the accounts are presented and which figures fall into which period. If the company’s year end is later changed, the first period can shift again. This is one of the main reasons two newly formed companies can face noticeably different accounts timetables, and why it pays to check your own company record rather than assume a colleague’s arrangements apply to you. The phrase micro company comes up often in this context because a qualifying entity may be able to prepare micro-entity accounts under FRS 105, the financial reporting standard that applies to entities meeting the micro-entity eligibility criteria. Depending on the reporting framework that applies, they typically include a balance sheet, a profit and loss account where relevant, supporting notes and the statements the directors are required to make. Once the directors have approved them, they are delivered to Companies House where required.

There is no single answer that applies to every company. The deadline depends on your incorporation date, the accounting reference date Companies House assigns to your company, and whether your first accounting period runs longer than a standard twelve-month year. Companies House confirms the accounts filing date when the company is registered and repeats it in reminders, so it is safest to check your own company record. If your company also has a Corporation Tax obligation, the deadline for any CT600 is separate and set by HMRC.

Useful records usually include bank statements and transaction listings, sales and income records, purchase invoices and business expense receipts, details of any assets bought for the company, share capital information, director loans or transactions, and any payroll or VAT records if those apply. A newly incorporated company may have very little activity in its first period, so the records needed may be brief, but they still need to be accurate and complete for whatever did take place.

A limited company is generally expected to prepare and file accounts for its accounting periods, and that includes the first one. Having limited activity, or not having started trading yet, does not automatically remove the filing requirement, although the position always depends on the company's particular circumstances and the applicable rules. Accounts filing is also separate from the confirmation statement and from any Corporation Tax Return, so meeting one deadline does not discharge the others.

No, they are different documents with different destinations. First year statutory accounts are prepared for the company and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. The figures in your accounts often feed into the tax return, and the first Corporation Tax accounting period may not line up exactly with the period covered by your statutory accounts, but filing the accounts does not submit a CT600 and filing a CT600 does not complete your Companies House accounts filing.

It does not. A confirmation statement is a separate annual filing that confirms the details Companies House holds about your company, such as directors, shareholders and the registered office, are up to date. Filing statutory accounts does not satisfy that requirement, and submitting a confirmation statement does not deal with your accounts. Directors remain responsible for keeping both on track.

Some companies can, but it is not automatic and it is not decided simply by how new or small the company is. Eligibility is assessed against the applicable criteria for the relevant accounting period, and a company that meets them may be able to prepare micro-entity accounts under FRS 105, the financial reporting standard for qualifying entities using that framework. Others will fall under the small company regime or need fuller accounts, so the right approach depends on your circumstances.

Delivering accounts to Companies House after the applicable deadline can lead to consequences, and those consequences can vary depending on how late the filing is and the company's filing history. Settling any penalty does not remove the obligation to file the outstanding accounts.
