They are the first set of statutory accounts a limited company prepares for its initial accounting period. That period normally begins on the date of incorporation and ends on the company's first accounting reference date, and the accounts are prepared from the company's accounting records. They usually include a balance sheet, and a profit and loss account where the framework used requires one, plus the notes and statements applicable to that framework. Where required, they are delivered to Companies House. Preparing them does not, by itself, complete the company's Corporation Tax, confirmation statement or VAT obligations.
There is no single date that applies to every company. The deadline is worked out from the company's incorporation date and its accounting reference date, and Companies House records the filing date for each individual company. Because the first accounting period can be longer or shorter than twelve months, the deadline for first accounts is not always calculated in the same way as for later years. Once the first period has ended, it is worth confirming your company's own deadline rather than relying on a general rule or on what happened for another company.
It depends on the activity the company has had, but directors can usually help by gathering bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets bought or sold, information about loans or finance, director transactions and any amounts owed to or by the company, share capital details from incorporation, and payroll or VAT records where those apply. If the company has been quiet, incorporation documents and bank statements are still useful. You do not need to have every item listed here — only the records that reflect what the company has actually done.
In most cases a limited company is required to file annual accounts with Companies House for its accounting periods, and that obligation is not removed simply because the company was only recently incorporated. There are circumstances where a different reporting position applies, for example where the company meets the criteria for dormant accounts or has never traded, but that depends on the company's own facts and the applicable rules rather than on being new. Directors of newly formed companies in Trafalgar should confirm which position applies to them before deciding that nothing needs to be submitted.

Where it does not qualify, small-company reporting may still be available, again subject to the relevant criteria. The appropriate framework should be confirmed for each period.
No. A confirmation statement is a separate Companies House filing that confirms the information held about the company, such as its registered details, directors, shareholders and share capital, is up to date. Filing statutory accounts does not satisfy that requirement, and submitting a confirmation statement does not file the accounts. A limited company may need to do both. Keeping the Companies House register accurate also helps ensure the accounts and the company's other filings reflect the same underlying information.
Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the outcome depends on how late the accounts are and the circumstances involved. Paying any penalty does not remove the requirement to file the outstanding accounts, so the accounts still need to be prepared and submitted. Where an appeal against a penalty is considered, eligibility depends on the individual circumstances and the applicable rules. If accounts are overdue, the practical step is to establish the position and prepare the filing as soon as possible rather than wait.
